Position Summary

AlpInvest is a leading global private equity investor with over $84 billion of assets under management as per September 30, 2024. Approximately 80% of these funds are invested in private equity funds globally, including secondary transactions, with the remainder invested directly in companies as a co-investor (equity and mezzanine) in Europe, North America and non-traditional markets. The company has approximately 225 employees based primarily in Amsterdam, New York, London and Hong Kong. AlpInvest is part of The Carlyle Group.

The AlpInvest Legal team is a small team that is based both in New York and Amsterdam. The New York based Legal team is primarily responsible for helping the New York and London based deal teams with making a variety of primary, credit, co- and secondary investments both in the U.S. and Europe. In this respect the New York based Legal team closely works together with the Tax Counsel and the Compliance Team as well as multiple other teams within AlpInvest.

The Legal Counsel will serve as one of the deal lawyers in the New York Office. This person will work on a substantial number of secondary investments (including credit/portfolio finance), co-investments and primary investments primarily executed in New York as well as credit/portfolio finance deals executed in London and provide all related legal support in relation thereto. In addition, the Legal Counsel will provide guidance on day-to-day legal matters.

The Legal Counsel will report to the Chief Legal Officer and will collaborate with the other members of the Legal & Compliance team as well as the Investment Professionals, Portfolio & Risk Analysis, Investment & Financial Accounting, Cash Management, and Tax teams within AlpInvest. Additionally, this person will have significant interaction with our external lawyers.

Responsibilities

Deal Related Responsibilities (75% of time)

  • Review and negotiate transaction documentation including purchase and sale agreements, contribution agreements, limited partnership agreements, credit agreements and side letters with help of outside counsel
  • Provide guidance to deal teams with respect to legal and business issues
  • Provide guidance with respect to deal structures
  • Review term sheets and bid letters
  • Respond to AML/KYC requests
  • Coordinate with Investment Accounting, Cash Management and Portfolio & Risk Analysis teams to consummate deals
  • Assist with fund formation process for co- and/or secondary investors on an ad-hoc basis
  • Manage external counsel


General Corporate Responsibilities (25% of time)

  • Maintain existing investments (e.g., review requests for consent, election notices and amendment requests)
  • Assist with advising internal groups with respect to legal questions regarding AlpInvest managed funds and SMAs
  • Assist with regulatory (competition) filings
  • Review and negotiate various third-party contracts including confidentiality agreements and non-reliance letters


Qualifications

  • Bachelor's Degree
  • JD from top tier law school
  • Admitted to NY Bar
  • 4-7 years of relevant experience at an asset manager or law firm
  • Experience with secondary transactions and/or co-Investments (secondary transactions preferred)
  • Thorough understanding of U.S. securities laws, including the U.S. Investment Advisers Act
  • Hands-on

Benefits/Compensation

The compensation range for this role is specific to New York and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.

The anticipated base salary range for this role is $190,000 to $230,000.

Additionally, the hired professional may also be eligible to participate in an annual discretionary incentive program, the award of which will be dependent on various factors, including, without limitation, individual and organizational performance.
