TITLE : ASSISTANT COUNSEL (CONTRACTS) - LEGAL
DEFINITION : Under the supervision of the General Counsel, provides legal counsel and representation required by the agency in contractual, consumer services, personnel, fiscal and administrative matters; to fulfill its mandate under the Older Adults Protective Services Act; and to carry out the legal processes necessary to help effect the rights, privileges, and obligations of the agency, and, as appropriate, its subcontractors and consumers.
DUTIES AND FUNCTIONS:
a. Prepares, reviews, and negotiates contracts to effectuate the business needs of the agency.
b. Assists the agency in a range of general corporate matters, including personnel, insurance, client benefits and entitlements and level of care, and other issues, by providing legal counsel and performing legal research and writing and the drafting of appropriate documents for review by the General Counsel as may be needed.
b. Maintains an awareness of, analyzes and interprets existing and proposed laws relevant to the agency.
c. Assists the agency in the preparation of presentations and position papers and legislative or regulatory proposals; prepares discussion papers for PCA staff concerning issues impacting on the elderly; serves, at the request of the General Counsel, on task forces and committees concerned with the delivery of services to the elderly, and provides training and education to staff and attorneys.
d. Provides legal counsel to staff, as appropriate, on selected client or agency-related legal problems; and makes referrals, as appropriate, to PCA's legal services contractors.
e. Provides legal counsel and representation in selected, appropriate protective services matters, including the preparation of all legal papers and participation in necessary judicial proceedings (including emergency proceedings).
f. Shares on-call responsibilities with the other members of the legal staff for the provision of legal counsel and representation in protective services matters as appropriate.
g. Provides legal counsel and representation in selected, appropriate guardianship matters, from initial petition through termination due to death or otherwise.
h. Assists in maintaining PCA's law library by recommending the acquisition of new materials.
i. Assists the General Counsel in selecting and monitoring outside counsel in connection with
litigation, risk management, and corporate and contracting matters.
j. In the absence of the General Counsel, serve as Acting General Counsel, consulting with
outside counsel as necessary.
k. Other duties as may be required.

Requirements
QUALIFICATIONS :
Education
- J.D. or LL.B. from an accredited law school
- Admission to the Pennsylvania Bar; minimum seven years of legal practice.
Experience
- Extensive experience in drafting and reviewing contracts and evaluation of business risk.
- Experience with elderly and disabled consumers and human services; income maintenance and related issues.
- Training and experience in agency and corporate practice (including human resources and vendor contracts);
- Knowledge and experience in trial and motion practice.
- Excellent verbal and written communication skills.
- Sound independent judgment.
- Working knowledge of mental health,
- Protective services and guardianship law.
