Porzio, Bromberg & Newman, P.C. seeks a skilled and dynamic attorney with 3-5 years of experience in transactional services, focusing on all aspects of commercial real estate, corporate transactional and/or general business transactional matters, to join its Real Estate and Commercial Practice Group in the Morristown, NJ office. The ideal candidate will have experience working on a variety of real estate transactional matters including, sales and acquisitions, office, retail and industrial leasing and lending. In addition, familiarity with corporate governance, business structuring, and general commercial matters is desired. Candidates must have excellent research, writing, communication and analytical skills and be prepared to assume significant responsibility. This position offers the opportunity to work in a fast-paced environment, collaborating with a diverse range of clients in real estate, finance, and business sectors.

ESSENTIAL FUNCTIONS:
  • Provide legal counsel and strategic advice on all aspects of commercial real estate transactions, including acquisitions, dispositions, leases, development, and financing.
  • Draft, review, and negotiate complex agreements related to commercial real estate, such as purchase agreements, lease agreements, financing documents, and joint venture agreements.
  • Advise clients on corporate matters, including entity formation, stock and asset sale transactions, corporate governance, and structuring of business transactions.
  • Draft and negotiate contracts and other legal documents for corporate clients, including shareholder agreements, partnership agreements, bylaws and operating agreements.
  • Assist in due diligence for real estate and corporate transactions, reviewing contracts, title reports, and financial documents.
  • Collaborate with clients, outside counsel, and other professionals (e.g., brokers, lenders, and tax advisors) to ensure smooth and effective deal execution.
  • Support clients in resolving disputes and issues arising in real estate, corporate, or general business contexts, including through negotiation and alternative dispute resolution mechanisms.
  • Stay current with developments in commercial real estate, corporate law, and related regulations.

EDUCATION, EXPERIENCE AND SKILLS REQUIRED:
  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in New Jersey.
  • Strong work ethic.
  • 3-5 years of experience in transactional services, with a strong focus on commercial real estate. Knowledge of corporate transactional matters a plus.
  • Strong knowledge of commercial real estate transactions, including leasing, acquisitions, dispositions, and real estate finance.
  • Solid understanding of real estate and corporate law, business transactions, and general business transactional matters.
  • Experience in drafting and negotiating a variety of legal documents and contracts.
  • Ability to manage multiple projects and transactions simultaneously.
  • Strong verbal and written communication, analytical, and problem-solving skills.
  • Ability to work both independently and as part of a collaborative team.
  • Client-focused with a dedication to delivering high-quality legal services.
  • Ability to think outside of the box.
  • Detail oriented.

PREFERRED SKILLS:
  • Experience with stock and asset sales or corporate restructuring.
  • Knowledge of complex financing structures, including debt and equity financing for real estate projects.
  • Experience in negotiating joint ventures, partnership agreements, and other business collaborations.
  • Familiarity with real estate development and zoning matters.
