Role Overview:
We are searching for an Associate Corporate Counsel to join our small legal team. The ideal candidate will be a corporate generalist with a strong contract drafting and management background. Optimally, the candidate will have experience with clinical trial agreements. The candidate will need to be proactive, well-organized, have strong contracts management experience, and be able to work as part of a small legal department in a fast-paced environment.
Prior experience with a life sciences company is desirable.
Summary:
The position will involve day-to-day management of the drafting and execution of contracts, including clinical trial agreements and other agreements associated with clinical trials. The position will also involve handling general corporate matters along with the rest of the legal team.

The position will involve day-to-day management of the drafting and execution of contracts, including clinical trial agreements and other agreements associated with clinical trials. The position will also involve handling general corporate matters along with the rest of the legal team.
Key Responsibilities:
- Work with internal stakeholders to draft and negotiate contracts, including service agreements, non-disclosure agreements, consulting agreements, and clinical trial agreements and ICFs, as well as more complicated agreements as needed.
- Manage contract workflow, contract management and reporting.
- Help build legal operations to effectively serve contract needs, prioritize tasks, and integrate with other company-wide systems.
- Conduct training on contract-related policies and procedures.
- Manage and maintain all company legal templates.
- Assist with general corporate matters.
- Complete other responsibilities as assigned.
Qualifications:
- J.D., licensed to practice law in the U.S. and an active membership and in good standing in a state bar (California preferred).
- 1-3 years of post-JD experience, preferably including both law firm and in-house in the life sciences or pharmaceutical industries.
- Contract drafting, negotiation and management experience is required.
- Excellent oral and written skills.
- Self-motivated, able to work well independently on projects, meet aggressive deadlines, handle multiple projects, technical and business acumen, and excellent communication skills.
- Ability to work in a collaborative environment, with a track record of building effective relationships with both internal teams and external partners.
Compensation:
- An appropriate financial package will be developed for the successful candidate to include a competitive base salary and equity, with a performance-related bonus opportunity.
- The anticipated salary range for candidates, who will work in Menlo Park, California, is $170,000 to $185,000. The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to the type and length of experience within the job, type and length of experience within the industry, education, etc. Oruka is a multi-state employer and this salary range may not reflect positions that work in other states.
Job Location:
- Position is hybrid, based in Menlo Park, California. Candidates will be required to be in-office in Menlo Park 3 days/week.
