We are on the search for an Associate General Counsel to join our team in the wholesale distribution industry. Our HQ is in Green Bay, WI and the ideal candidate lives in Wisconsin, Chicago/Chicagoland, or the Cleveland area and is comfortable traveling to Green Bay from time to time to interface with the group. The successful candidate will play a significant role in negotiating contracts and agreements with vendors, suppliers, providing legal support, and ensuring compliance and smooth business operations.

Responsibilities:
  • Draft, review, and negotiate a wide variety of corporate contracts including vendor contracts, business associate agreements, and service contracts.
  • Negotiate contracts and agreements with vendors, suppliers, and customers, ensuring fair and profitable business transactions.
  • Ensure the company's internal contract processes promote efficiency and adherence to applicable laws and regulations.
  • Provide legal support to the company on a wide range of matters such as corporate governance, compliance, and risk management.
  • Manage lease agreements, including negotiation, compliance, and resolution of disputes.
  • Assist with HR and employment law matters, advising on compliance, and aiding in resolving potential legal issues.
  • Assist with bank financing arrangements and negotiations.
  • Interact cross-functionally to monitor, identify and adequately address legal needs.
  • Maintain current knowledge of legislative changes that may affect the company and its affiliates.
  • Provide clear legal advice to business stakeholders, facilitating informed decisions that balance opportunity against risk.
  • Coordinate with external legal associates for specialized legal matters.


Requirements

Qualifications:
  • Law degree (JD) from an accredited law school.
  • Be an active member in good standing of the Wisconsin State Bar.
  • Minimum of 7-9 years of related experience in a law firm or corporate legal department.
  • Extensive knowledge and understanding of contract law, lease agreements, HR and employment law, and related business practices.
  • Exceptional research skills with keen attention to detail.
  • Demonstrated communication and negotiation skills, with a proven track record of successfully negotiating major contracts and agreements.
  • Ability to handle multiple tasks efficiently within a fast-paced environment.
