Role purpose

A&O Shearman seeks an accomplished associate to join our New York office with 3-5 years of experience focused on Structured Finance transactions and Collateralized Loan Obligations (CLOs). Our global CLO lawyers are some of the most experienced, versatile and sought-after in the market, and have a history of developing cutting-edge solutions for clients and the wider market. Qualified candidates should have meaningful and in-depth CLO experience, excellent academic credentials, and major law firm experience.

The salary range for this position is $225,000 to $435,000 depending on the candidate's JD year. We offer competitive compensation and benefits package which includes a discretionary bonus, paid leave, life, health, accident, and disability insurance; and a 401(k) plan.

Role and responsibilities
  • Advise on various complex financial transactions.
  • Manage CLO warehouse and securities transactions from start to finish.
  • Draft primary financing facility transaction documents and primary securities issuance transaction documents for CLO transactions.
  • Supervise and train junior attorneys in preparing ancillary documents and closing processes.

Minimum Requirements
  • A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school.
  • Must be admitted, and in good standing, to the bar in the jurisdiction in which you will practice; or must provide. written confirmation as to ability to become admitted in that State or District.

Preferred Requirements
  • Desire to work directly with partners in managing deals, developing business strategies, and preparing training programs for junior attorneys.
  • Desire to engage in marketing activities and attendance at conferences.
  • Analytical, research, and writing skills.
  • Ability to work well under pressure and manage your time effectively.
  • Class years 2022-2020.
