IDEAL CANDIDATE
- Serves as a resource regarding cyber security policies and procedures to ensure consistency with applicable laws, rules, and regulations and recommends changes as appropriate.
- Serves as a resource in event of allegations of non-compliance with the organization's cyber security policies and analyzing all applicable reporting obligations.
- Coordinates with the CIO and other applicable departments regarding mitigating the effects of any potential cyber security incidents.
- Serves as a resource to the company's designated liaisons to regulatory and accrediting bodies for matters relating to cyber security.
- Provides guidance in the event of an incident or breach.
- Provides counsel on cyber security laws and promptly identifies changes in the law.
Contracts
- Provides leadership to Client Health committees, work groups, and task forces charged with contract oversight and negotiation for physician contracts, clinical contracts, and other contracts, as designated.
- Prepares fair market value and commercial reasonableness analysis.
- Oversees contract inclusion of metrics to ensure they are measurable, measured, and clearly communicated.
- Regularly evaluates physician contracts to ensure they are current and that terms are updated, as needed, to conform to legal and/or regulatory requirements.

- Conducts monthly meetings with administrative-physician leaders to identify which to renew, term, and/or amend.
- Promptly reviews, drafts and/or terminates contracts to meet 30-day turnaround time goal for physician contracts and 45-day turnaround time for non-physician contracts and ensures timely finalizations of contracts.
Written Policies and Procedures
- Reviews and recommends revisions, as needed, to policies to address Stark and Anti- Kickback laws and regulations.
- Reviews and recommends revisions, as needed, to cyber security policies related to incident response planning and contingency planning. Develops and revises policies related to physician contract, clinical contract, and vendor contract management.
Conducting Effectiveness
Training and Education
- ttends educational programs to stay abreast of legal and regulatory changes.
- Educates staff and physicians regarding contract process requirements, terminology, fair market value and commercial reasonableness, metrics, and compensation.

IDEAL CANDIDATE
- Juris Doctor Degree required.
- Minimum Experience Requirement : 2 years of experience in either a law firm or in-house counsel role drafting a wide range of contracts is required.
- Minimum License Requirement : California State Bar required. Certification in healthcare compliance (CHC) or privacy/cybersecurity preferred (CHPS, CIPP, CISSP).
- The successful candidate possesses the ability to work efficiently and independently and reacts with appropriate urgency to situations that require a quick response or turnaround. A high level of professionalism, integrity, and discretion in handling confidential information, as well as the ability to work well with people at all levels inside and outside the organization.
- Contributes to a collaborative, positive environment where everyone plays a role in producing the best work possible. Draft, review, and negotiate a high volume of diverse contracts for departments across the organization in accordance with the organization's policies and procedures. Contracts include physician and medical groups, software as a service, construction and vendor contracts.
- Collaborate and advise department stakeholders on contract details. Provide timely responses to redlined versions of contracts provided by external vendors. Provide advice on legal, regulatory, and contractual matters having a material impact on the organization's strategic and operational goals. Provide oversight of acquisitions and other expansion projects as requested by Corporate Director In-House Counsel. Support the organization on compliance with laws impacting health care, including Medicare laws and regulations, Stark, the Anti-kickback Statute, HIP nd other data protection laws.
