Description:
The Director of M&A, Integration, and Corporate Compliance is responsible for supporting the executive leadership team through the M&A lifecycle and the implementation of the company's corporate policies and procedures. The Director will develop strategy, framework and execution tactics for M&A and will provide key strategic integration guidance to complete complex transactions, manage critical relationships and deliver thoughtful insights & recommendations. The Director will cultivate best practices and approach projects with a flexible, innovative mindset and a desire to make a meaningful impact on a dynamic fast-growth company.
Responsibilities:
Identify growth opportunities and develop M&A framework, from due diligence to post-closing integrations.
Evaluate potential new ventures, mergers, acquisitions, strategic divestments, and capital raising initiatives.
Identify transaction risks and develop risk mitigation strategy.
Lead and direct corporate and legal due diligence and negotiate definitive transaction agreements.
Manage multiple M&A and other transactions and coordinate closing mechanics to ensure seamless transition and efficient corporate integration.
Manage M&A transaction documents post-closing through the contact's survival lifecycle.
Cross-functional collaboration with Human Resources to develop and maintain corporate employee handbook and implement corporate employee handbook through M&A integration
process.
Cross-functional collaboration with executive leadership and board of directors to develop corporate governance policies and procedures and oversee such policies and procedures to
ensure compliance with applicable laws and regulations.
Assist in the investigation of complaints and employee infractions, including breaches of corporate policies and procedures.
Assist with corporate compliance risk assessment to ensure robust control environment.
Assist with cross-border transaction and corporate compliance requirements.
