SUMMARY: The Contract Manager will oversee and manage all aspects of contracts, including negotiation, drafting, execution, compliance, and monitoring. They will also provide legal advice and guidance on contract terms and conditions, involving specialists when necessary.

REPRESENTATIVE DUTIES (Employee may perform any combination of the essential functions shown below.   • Maintain an in-depth understanding of both US and international laws and regulations, along with the rules and standard provisions that govern the contracting process. Proactively initiate and revise procedures to ensure compliance with any changes in these laws and regulations.
  • Review records to ensure that all applicable laws, rules, and regulations are adhered to and that proposed contracts adhere to the applicable statutes.
  • Review, draft, and negotiate contractual agreements, including but not limited to, non-disclosure agreements, service agreements, purchase agreements, and licensing agreements with support from associated business/technical leader.
  • Support business/technical leaders while they negotiate critical business terms with vendors/clients/partners. Provide feedback and ensure terms are reasonable and in line with Synergy's expectations.
  • Ensure contract compliance with legal requirements and company policies.
  • Review vendor and subcontractor contracts and provide recommendations to associated business/technical leader.
  • Manage contract change requests, amendments and extensions.
  • Maintain accurate contract records and documentation.
  • Communicate timely Contract expirations and renewals to necessary business/technical leaders.
  • Collaborate with other departments to identify areas for continuous improvement of the contracting process.
  • Assist in the provision of correct & timely inputs for RFPs and RFIs.
  • Support the maintenance of contract compliance and ensure they are always prepared for audits.
  • Prepare regular metrics reporting to management.
  • Act as a liaison between all involved project members operative users of the contract management system (if applicable).
  • Preventative maintenance of contract reviews.
  • Manage proper closeout of contracts.
  • Liaise with external counsel as needed.
  • Perform other duties as assigned or required.

CANDIDATE PROFILE:
  • Minimum of 5-10 years of experience in contract management or a related field.
  • Law degree or paralegal certification is required.
  • Proficient in Microsoft Office Suite and contract management software.
  • In-depth knowledge of contract laws and regulations.
  • Strong analytical and problem-solving skills.
  • Excellent communication and negotiation skills.
  • Ability to work collaboratively with cross-functional teams including Synergy executive leadership, our clients' executive leadership and partner/vendors' executive leadership teams.
  • Attention to detail and accuracy in contract management.
  • Familiarity with contracting processes and project management methodologies.
