As Corporate Counsel, you will play a pivotal role in managing legal matters, ensuring compliance, and supporting strategic growth initiatives in this dynamic and fast-evolving industry.

Key Responsibilities:

  • Contract Management:
    • Draft, review, negotiate, and finalize contracts, including licensing agreements, NDAs, MSA/Customer Agreements, and supply/vendor agreements.
    • Oversee and manage contracts with public sector and government clients, ensuring compliance with applicable regulations (e.g., FAR/DFARS).
  • Corporate Governance: Support corporate governance initiatives, including maintaining corporate records, policies, and ensuring compliance with state and federal laws.
  • Regulatory Compliance: Advise on compliance with IoT-specific regulations, data privacy laws (e.g., GDPR, CCPA), and government procurement requirements.
  • Risk Management: Provide proactive legal counsel to mitigate risks, resolve disputes, and safeguard Xirgo's interests across diverse sectors and geographies.
  • Public Sector Expertise: Collaborate with the business development and sales teams to navigate legal aspects of government contracting, including bid reviews and contract fulfillment.
  • Intellectual Property: Assist in protecting Xirgo's IP portfolio, including patents and trademarks related to IoT and telematics technologies.
  • Cross-Functional Collaboration: Partner with internal teams, including Sales, R&D, operations, finance, and HR, to provide strategic legal guidance and support new business initiatives.


Qualifications:

  • Education:
    • Juris Doctor (JD) degree from an accredited law school and licensed to practice law in Illinois (or eligible for admission).
  • Experience:
    • 3-5 years of experience in corporate legal roles, preferably in IoT, telematics, technology, or manufacturing sectors.
    • Strong background in managing private and public sector contracts, including familiarity with government procurement processes.
  • Skills:
    • Proficient in contract law, regulatory compliance, and corporate governance.
    • Knowledge of IoT-specific legal issues and data privacy laws (e.g., GDPR, CCPA) is a plus.
    • Excellent written and verbal communication skills with strong attention to detail.
    • Ability to manage multiple projects in a fast-paced, innovative environment.
  • Salary Negotiable based on experience. Target Base Pay: $175k-200k
