Description:

As Corporate Counsel, Technology Transactions at TensorWave, you will play a pivotal role in supporting our business by drafting, negotiating, and advising on a variety ofcomplex commercial transactions and strategic partnerships, with particular emphasis on cloud and technology sales. You will report to the General Counsel and will work closely with the C-Suite and cross-functional stakeholders to invent, simplify, and implement innovative solutions to TensorWave's commercial transactions needs.

    • Draft, review, negotiate, and manage a wide range of complex commercial contracts, including vendor agreements, strategic partnership agreements, software licensing agreements, IaaS and SaaS agreements, hardware purchasing/leasing, MSAs, SOWs, and NDAs.
    • Provide strategic legal advice regarding intellectual property rights, ownership, licensing and data privacy issues in the context of commercial transactions.
    • Collaborate with internal stakeholders to understand business objectives and ensure contracts reflect these goals while managing legal risks.
    • Efficiently manage risk and ensure business and compliance needs are balanced and accurately reflected in the company's commercial agreements.
    • Support the continuous improvement of the company's standard form agreements and legal processes.
    • Work collaboratively with the General Counsel and other internal stakeholders and efficiently leverage outside counsel as necessary.


    • Strong academic credentials and admission to one state bar, with the ability to work in-house in Nevada.
    • 6+ years of legal experience, of which 4+ years of experience must be as an attorney specializing in complex commercial transactions, including technology transactions.
    • Demonstrated ability to handle complex negotiations with a solutions-oriented approach.
    • Excellent legal and business judgment, with the ability to balance legal risks against business objectives.
    • Strong organizational skills and the ability to manage multiple projects simultaneously, including the ability to meet deadlines in the face of competing priorities.
    • Self-motivated team player.
    • Enjoys understanding new technologies with ability to quickly learn them.


Preferred Qualifications
    • Experience working for fast-paced technology companies, particularly in the cloud-computing, IaaS, or SaaS sectors.
    • A mix of corporate law firm and in-house counsel experience.
    • California bar admission.
