StrideCare is a well-capitalized, high-growth physician practice management (PPM) company focused on acquiring and integrating high-quality healthcare practices across the United States. We provide comprehensive lower extremity care through an integrated clinical network of vascular surgeons, interventional radiologists, podiatrists, and wound care professionals.
As part of our continued expansion strategy, we are looking to add a Manager of Corporate Development to our dynamic team. This position will play a pivotal role in executing the full M&A lifecycle, driving strategic board initiatives, and leading junior team members.
In this role, you will collaborate closely with senior leadership, the Board of Directors, the Private Equity group, external advisors, and cross-functional teams to support the company's acquisition strategy, integration efforts, and overall growth objectives.
This role will be very high-visibility and fast-paced, with significant opportunities for upwards mobility and increased responsibility for the right candidate who takes charge.
Key Primary Responsibilities:
Lead and Manage M&A Execution: Take ownership of the day-to-day execution of the M&A process, overseeing the entire deal lifecycle from sourcing, diligence, LOI negotiation, closing, and post-transaction integration.
Financial & Business Due Diligence: Conduct in-depth financial analysis, including valuation models, financial due diligence, and forecasting. Lead efforts to assess target companies' financial performance, operational capabilities, and strategic fit with StrideCare.
Deal Structuring and Negotiation Support: Collaborate with senior leadership and external advisors to draft, structure, negotiate, and close deals. Play a key role in drafting term sheets (IOI, LOI), investment memos, and closing documentation.
Stakeholder Communication: Prepare detailed reports, presentations, and investment memorandums for internal stakeholders, including senior management, investment committee, and board members. Communicate key insights and recommendations clearly and effectively.
Leadership and Team Development: Manage and mentor junior team members, providing guidance and oversight on all M&A-related tasks. Facilitate training and development to enhance the team's skills in financial modeling, analysis, and transaction execution.
Continuous Improvement & Process Refinement: Ensure a focus on continuous process improvement by identifying and implementing efficiencies across the M&A function.
Take ownership of refining existing processes, creating standard procedures, and driving best practices to enhance deal execution and integration.
Secondary Responsibilities:
Involvement in Full M&A Lifecycle: While others will lead the sourcing, prospecting, and post-closing integration processes, the Manager will actively support and have the opportunity to be involved in these efforts and discussions.
Transaction Documentation: Collaborate with internal legal and external advisors in the negotiation and drafting of key transaction documents, including purchase agreements, employment agreements, and other critical contractual documents, providing input and ensuring they align with strategic business goals.
Post-Closing Integration Assistance: While not directly leading integration, provide ongoing support to the integration team to ensure the smooth transition of newly acquired practices, including tracking progress, identifying underwritten synergies, and assisting cross-functional teams (operations, integration, legal, finance, HR, IT, etc.) with integration milestones to ensure smooth transitions and alignment with the original investment theses.
Board-Related Materials & Financing Support: Provide support in preparing board materials related to M&A and financing-related materials. This includes tasks such as creating presentations, reports, and other documentation required for board meetings and financing-related activities.
Strategic Sourcing and Deal Flow Management: Identify and source attractive acquisition targets through strategic outreach, industry networking, and leveraging relationships with third-party intermediaries (brokers, investment bankers, etc.).
Industry Conferences & Networking: Represent StrideCare at relevant industry conferences and networking events to foster relationships with key industry players, potential acquisition targets, and intermediaries. Actively support sourcing and business development opportunities through these channels when called upon.
Support on Special M&A Projects: Contribute and support special growth initiatives and ad-hoc projects as needed, such as strategic partnerships, joint ventures, or other innovative growth opportunities, collaborating with senior leadership and external advisors to identify and execute high-priority deals.
Knowledge / Skills / Abilities:
Understanding of M&A, especially the healthcare / physician practice management space
Ability to lead and drive M&A transactions with a results-oriented, hands-on approach.
Ability to manage multiple projects and deadlines in a fast-paced, dynamic environment.
Ability to collaborate and build relationships with diverse internal and external stakeholders, including private equity sponsors, senior leadership, external advisors, and potential acquisition targets.
Entrepreneurial mindset with a proactive, solutions-oriented approach to problem-solving and team-development.
Excellent financial modeling and valuation skills, with advanced proficiency in Excel and other financial tools.
Excellent written and verbal communication skills, with the ability to distill complex financial and operational data into clear, actionable insights for senior leadership.
Strong analytical and problem-solving skills with the ability to process large datasets and extract key insights.
Qualifications:
Bachelor's Degree in Finance, Business, Economics, Engineering or a related field (MBA or CFA a plus).
4-6 years of relevant experience in corporate development, investment banking, private equity, or M&A roles, ideally with a focus on healthcare or physician practice management.
Experience working with private equity-backed companies and familiarity with the healthcare M&A landscape.
Demonstrated experience in financial modeling, deal structuring, and transaction execution.
Previous experience leading and/or mentoring junior team members is a plus
