Corporate Development Officer II
The primary purpose of the role is to play a lead role in the development, refinement, and adherence to the Corporate Development governance process as it relates to all Corporate Development activitiesy throughout the Corporation. This position is responsible for executing the ongoing evaluation, modeling, analyzing, and formulating recommendations and presenting such recommendation to executive management which impact the Corporation. Including performing detailed market and strategic assessment, performing detailed financial studies that look to accurately measure the risks and rewards of a myriad of situations confronting the Corporation. This position interacts with senior and executive management on a regular basis as part of leading M A and corporate initiatives, able to challenge assumptions and sponsor less popular views based on detailed rationale while serving as an independent party. Secondarily, the position manages the administrative aspects of Comerica Capital Advisors (stand-alone subsidiary of Comerica Incorporated) and Comerica's warrant portfolio. This position reports to the head of Corporate Planning Development.

Position Responsibilities:
Corporate Development/Strategic Assessment
- Take a lead role in various M A activities for the Corporation, including regular interaction with senior and executive management, challenging assumptions, and playing an independent role in each transaction.
- Perform detailed financial studies that look to accurately measure the risks and rewards of a myriad of situations confronting the Corporation.
- Perform strategic assessments of candidates for development, whether acquisition candidates or internal businesses for expansion or divestiture
- Analysis of potential acquisition candidates including financial assessment, valuation, profile write-ups, and accretion/dilution analysis
- Assess the impact decisions and recommendations will have on the Corporation, as well as how movements in the capital markets will affect the Corporation
- Challenge model results/methodology for models including valuation of warrants, equity investments, and auction rate securities as well as other models with a valuation/investment aspect such as goodwill impairment testing; provide feedback and documentation to model owners on appropriateness of models/inputs and suggestions for improvement where necessary.
- Day to day functional operation and management of Warrant Administration including handling all aspects of warrant events including inception, tracking, reporting, negotiation of legal agreements, dialogue with relationship managers, exercise / termination of warrants, collection and booking of proceeds for monetizations, forecasting, maintenance and adherence to related policies and procedures.
- Management and administration of limited partnership (indirect) and direct equity portfolios including completing capital calls, distributions and write-downs, underwriting new investments, consultation with loan officers on questions pertaining to the portfolio, and dispositions.
Project Management
- Lead the coordination of the activities of attorneys, accountants, business, and staff areas throughout the bank as well as outside the bank.
- Coordinate and resolve, if necessary, all issues as they relate to regulatory approval, accounting issues, internal and external announcements, human resource issues, and business and support unit issues.
- Prepare and provide support for Management as required.
- Perform ad hoc analysis, reports, research and providing department management with recommendations that help define corporate goals, risks, and opportunities.
- Analyze and recommend initiatives to improve corporate performance and efficiency.
- Responsible for performing detailed strategic and financial studies which accurately measure the risks and rewards of a variety of situations confronting the Corporation and subsequently formulating recommendations to address the issues or take advantage of opportunities.
