Your role
We're looking for a motivated and detail-oriented Corporate Equity Derivatives lawyer to:
partner with the investment bank and external counsel to provide holistic support on the whole gamut of corporate equity derivative transactions in the U.S. and globally (to the extent the underlying company is incorporated or listed in the U.S.)
act as a subject matter expert for all legal and regulatory matters for or related to corporate equity derivative transactions, such as margin loans, prepaid variable forwards/collars, issuer call spreads/capped calls and structured share repurchases
collaborate with the wider Group Legal and Investment Banking teams to educate on new regulatory initiatives, market trends, conflicts, significant cases and changes in law
monitor legal and regulatory developments for the Investment Banking business
work closely with other firm functions including Compliance, Conflicts, the Global Banking Operating Office and Risk
Detailed salary information:
New York: the salary range for this role is $176000 to $229000
The expected salary range(s) for this role as of the date of this posting is/are based on factors including, but not limited to, experience, qualifications, education, location and skill level. Your team
You will be working in the Global Banking Legal team in the New York office. You will play a vital role in supporting the negotiation and documentation of trade confirmations, loan agreements, collateral agreements and other transactional documents. As a business aligned equity derivatives lawyer, you will be a trusted advisor to the Investment Bank by delivering best-in-class legal advice on transactions to effectively manage our legal risk.
Your expertise
JD degree with current Bar Admission in New York
4+ years experience working in law firm or as in-house counsel
excellent product knowledge across corporate equity derivatives
Strong understanding of equity derivatives, ISDA documentation, and relevant U.S. bankruptcy and securities law
ability to work as a team player across products and divisions
proven talent negotiating complex documents; prior experience providing advice to investment banks a plus
exceptional written and verbal communication skills with the ability to challenge stakeholders at all levels
