Job Summary
Triple Ring is currently seeking a corporate paralegal/government contract administrator to join our team to assist our legal and government contracts departments. This position will report to the General Counsel and Head of Government Business. The paralegal/government contract administrator will support the implementation of contract lifecycle management system, work closely with key internal and external stakeholders, manage the process for the intake, review, tracking, and filing of a wide variety of legal contracts and agreements (NDA's, PSA's, etc.), manage the receipt of and response to legal notices, prepare annual internal compliance audits, file patent applications and maintain patent maintenance fees, and provide administrative and contract guidance and support to staff seeking funding for research and development projects, negotiate, administer, extend, terminate, and renegotiate contracts and sub-contracts, as appropriate to the specific position, research and interpret relevant regulations, guidelines, and standards, and oversee the processing of contracts and/or grants.
In addition, this role will assist with employment law matters; support various corporate governance initiatives; prepare, plan, and conduct company-wide trainings; assist General Counsel and Head of Government Business in various corporate and strategic initiatives (e.g., data room management and response to due diligence inquiries); and broadly speaking, assume responsibility for continued implementation of systems, procedures, and best practices for the Legal and Government Contracts Department. Your work will impact Triple Ring Technologies engagement with external entities, as well as support the Company's employees, workflows, and operations.

The annual salary range for jobs which are performed in US, California is $70k to $115k. Please note that the salary range is a guideline and compensation may vary based on factors such as qualifications, skill level, experience, competencies and work location.
This role will be eligible for our hybrid work model which allows employees to split their time between working 2-3 days on-site and off-site. In certain circumstances the hybrid work model may change to accommodate business needs.

Responsibilities
- Be highly organized and detail-oriented
- Manage contracting workflow for the legal department (e.g., manage the intake of contract requests; track contract negotiation and signature; file completed contracts; etc.)
- Review and edit Non-Disclosure Agreements, Professional Service Agreements, and various other legal documents
- Manage contract lifecycles (e.g., collaborate with other departments (Finance, Business Development, Human Resources, Purchasing, etc.) to manage contract deadlines, milestones, and payments and advise of upcoming expiration dates)
- As requested, support the GC on contract preparation, as well as interactions with counterparties and outside counsel
- Provide assistance on a variety of corporate governance matters (e.g., entity formation; corporate filings; investor questionnaires; etc.) and preparation for Board of Director meetings
- Assist with strategic initiatives, including providing due diligence support, managing data rooms, and preparing and organizing documents
- Support the legal department in long-term projects that improve the performance and efficiencies, such as template creation and updates, creation and delivery of Company-wide trainings, etc.
- Prepare and execute multiple internal compliance audits as needed, but at minimum annually
- Research topics to present at monthly management meetings relevant to the relationship between legal matters and TRT scopes of work
- Familiarity with intellectual property law (filing patents/patent applications, maintaining maintenance fees, etc.)
- Guides and facilitates staff in the development and preparation of research proposals contracts, sub-contracts and agreements, to include budgets, documentation, and interpretation of funding requirements.
- Works with Project management and accounting on the implementation and support of financial systems, related policies, and processes needed to identify and manage revenue, government overhead and fringe rates, as well as unallowable expenses.
- Analyzes and evaluates contract and grant cost proposals and budgets for correct calculation of expenditure categories such as salaries, percent of effort, salary adjustment increases, fringe benefits, indirect costs, materials, and equipment.
- Prepares required documentation, obtains official TRT signatures, and recommends approval or rejection of contract specifications.
- Assists in the formulation of processes and procedures for negotiation of contract and grant pre-awards and post-awards in accordance with TRT policy; researches appropriate federal requirements to facilitate compliance by all parties; assists in arbitration and resolution of conflicting interests, as necessary.
- Coordinates receipt of awards and contract documentation; maintains proposal and funding records in database systems, and prepares scheduled and special reports, studies and analyses.
- Participates and/or assists in special projects, and performs associated administrative duties, as assigned; may provide functional direction to lower level technicians on assigned work.
- Updates and maintains current SAM registration.
- Tracks, records, and audits compliance with accepted Government contract clauses

Education, Experience, and Skills
- Bachelor's degree or equivalent in business administration or related field from an accredited 4-year institution
- 3 years of experience in government contract administration
- Strong negotiator with excellent problem-solving abilities
- Detailed knowledge of government regulations and guidelines about contracts
- Exceptional interpersonal and communication skills (verbal and written)
- Professionalism, integrity, good judgment and respect for confidentiality
- A flexible, can-do attitude that makes you willing (and excited!) to take on new, unfamiliar tasks
- Exceptional organizational skills and the ability to multitask with ease; strong project management skills
- Ability to read, analyze, interpret, and summarize a wide variety of legal documents
- Ability to facilitate completion of non-disclosure agreements and commercial contracts (e.g., filling in basic information, proofreading, and collecting business information for schedules/appendices); experience reviewing and drafting contracts required
- Advanced knowledge of: Microsoft Office application suite (e.g., Word, Excel, and PowerPoint) and equivalents (e.g., Google Docs, Google Sheets, and Google Drive); Box, Adobe Acrobat; Box Sign; and other common office software tools
- Experience with document management databases preferred
