Summary Description:

Mergers and Acquisitions (M&A) is a very important strategic pillar of Refresco's growth strategy and covers all regions. As the Director of M&A and Integrations for NA, you will be based in Tampa, Florida and report to the Group Director M&A based in Refresco Corporate Headquarters in Rotterdam. You will also report dotted line into the Chief Financial Officer of Refresco NA as your main focus will be on executing our M&A strategy in North America. You will advise the Executive Committee of Refresco during the process of selecting and evaluating potential candidates of acquisition. You will also coordinate the different M&A activities including supporting the North American team with related integration activities in North America. This role requires a strong, enterprising personality that can ultimately manage the entire scope of the role, which focuses on the M&A process, always searching for synergies and driving the integration, including reporting.

Essential Functions:

  • Run the M&A Strategy (Target Selection, Business Case, LOI, Negotiations, Due Diligence) for Refresco North America.
  • Become the point of contact and process owner of a possible deal, ranging from informing stakeholders, preparing for negotiating the commercial terms, managing the transaction documents (share-asset purchase and/or contract manufacturing agreements) to finalizing the transaction documents with the Group legal team and obtaining approval from the Executive Committee.
  • Prepare for all M&A integration activities in close collaboration with all parties, including third parties, involved to bring it to the finish line efficiently including handover to local management
  • Follow and detect trends in M&A (integration), identify and suggest continuous improvement within these activities. Initially coordinate due diligence projects to later oversee them.
  • Ensure proper documenting of important M&A related documents at group level (i.e. business plans, synergy target setting and tracking etc.) and maintain an efficient administration process and system for these key M&A documents and records.
  • Develop business plans and integration plans including synergy targets at the beginning of and during possible mergers and/or acquisitions and ensure a sign off for the plans and synergy targets.
  • Realization of targeted Synergies for each of the acquisitions.
  • Lead key projects which have been identified to contribute towards the realization of the synergy targets.
  • Communication skills will be especially important in the Director M&A's collaborative capacity and more so, for his collaborations with external and prospective business leadership, which will play an important part in the success or failure of impending transactions. The Director M&A will also be required to draft regular reports and make presentations to the business's executives, stakeholders, and collaborating personnel for final informed decision-making. These reports must therefore, be clear, easy to understand, convincing, exhaustive, engaging, and tailored to suit various audiences.
  • Integration of Processes and Culture focus on driving implementation of Refresco values throughout the organization, leveraging existing processes with Refresco and the acquired business to create an agile, lean organization based on the Refresco core values:

Education and Experience:

  • Master's degree in finance and/or Business Management
  • 10+ years relevant professional experience in corporate finance and/or controlling including experience with M&A processes from A to Z, including deal sourcing/origination through financial modelling/valuation and SPA negotiation, to closing and integration/synergy realization
  • The candidate will demonstrate an in-depth operational and valuation financial modeling experience and an ability to generate new business through existent relationships as well as the development of new relationships in a business's industry.
  • Strong commercial & business acumen to recognize and act upon opportunities and you show a large amount of ownership in everything you do
  • A collaborative and flexible working style, hands on, with high level of accuracy
  • Direct Reports: One
    • Indirect / Through Projects: 10 FTE


Travel Requirements:

  • Based in Tampa corporate office with travel required both domestically and internationally as needed
