Legal Vice Presidency. In the context of the World Bank's broad development agenda, the Legal Vice Presidency (LEG), under the Senior Vice President and Group General Counsel (SVP-GC), is responsible for providing legal advice and support to internal and external Bank clients on operational, advisory, financial, administration, and institutional matters.

Corporate Finance Practice Group (LEGFI):

The Corporate Finance Practice Group provides legal, policy, and governance advice to the World Bank's finance units, including the Chief Financial Officer and the following Vice Presidencies: Treasury, Chief Risk Officer, Finance and Accounting, and Development Finance. LEGFI handles the legal aspects of the Bank's market facing activities in capital markets and asset management, as well as the financial and legal structuring of the Bank's client-facing financial products and services.

The Counsel will be part of the Financial Products and Services team within LEGFI, which works on projects that involve creating new financial products and services for World Bank clients in respect of loans and other financing mechanisms, as described in more detail below. LEGFI is involved in developing and structuring these proposals, working with both finance and operational teams. Frequently these projects involve a wide range of functions that span multiple Vice Presidencies within the Bank. The Counsel will also have the opportunity to work on a variety of other initiatives, including asset management and banking matters.

Responsibilities and Accountabilities:
The position requires rigorous analytical skills, as well as a demonstrated ability to work harmoniously in a team and to exercise good judgment. The level and quality of these skills will be a determining factor in the selection for the position, and references will be given serious consideration in this determination.
Specifically, the Counsel will work with Senior Counsels and other Counsels in the Financial Products and Services team on a day-to-day basis, and will be expected to: Develop and prepare new (and iterate existing) World Bank financial policies, products and mechanisms, including in respect of financial terms and conditions related to loans, contingent finance mechanisms, and other development finance instruments.
Draft, coordinate and provide inputs towards conceptual frameworks and/or bespoke transactions aimed at leveraging and/or preserving the World Bank's balance sheet, and utilizing other/external funding sources.
Prepare, analyze and provide inputs towards IBRD and IDA policies, directives and procedures related to financial products, financing instruments, finance facilities and funds or other initiatives while serving units from across the World Bank's finance complex and relevant global practices.
Assist in the implementation, rollout and ongoing maintenance, supervision and/or reporting related to finance instruments, transactions and initiatives.
Analyze structured finance, project finance and other transactions to consider issues related to security/collateral and implications for WB preferred creditor treatment and other concerns.
As directed, collaborate with other international financial institutions and multilateral development banks.
Review, comment upon, and provide input on policy papers prepared by clients on issues related to financial products and services.
Use sound legal principles and fundamentals to inform and steer the development of policy and practice of the World Bank in a range of finance-related topics, including novel ones.
Be client-oriented, responsive, and willing to work in a dynamic, fast-paced environment.
Handle a wide variety of other projects relating to financial transactions and policy issues as requested by the Deputy General Counsel and the Senior Counsels on the Financial Products and Services team

Work implies frequent interaction with the following:
Treasury, Chief Risk Officer, Finance and Accounting, and Development Finance staff and managers, as well as operational and sectoral specialist staff and managers across the World Bank Group;
Counterpart lawyers and other officials in donor governments, supranational organizations, and other specialized external entities;
Counterpart lawyers, business teams in market counterparties and rating agencies;

Outside counsel for the Bank, regarding highly specialized matters or issues of domestic law; and
Colleagues within the Legal Vice Presidency.

Selection Criteria

The chosen candidate will be selected based upon his or her possessing:
An LLM degree, J.D. or equivalent, with a minimum of five (5) years of relevant experience, and be admitted/qualified to practice law in at least one jurisdiction.
Experience in the areas of banking and finance, structured finance, asset finance, asset management or other finance-related areas.
Skills and experience in structuring, drafting and negotiating finance transactions (secured and/or unsecured) and related documentation.
Experience in international or domestic debt market and/or capital market transactions, including preparing and negotiating a wide range of documentation for same.
An understanding of general principles of security/collateral.
An understanding of, or experience in, drafting and analyzing derivatives/swaps, options, guarantees and their documentation.
An understanding of, or experience in, asset management, particularly, in public sector institutional investors space.
Strong written and verbal communication skills
Effective verbal and written communication skills in English;
Proven ability to operate effectively as a member of one or more teams;
Interest in working with colleagues from across a range of units and departments within the World Bank's finance complex and operational departments in a fast-paced, multidisciplinary environment.
Familiarity with climate/disaster finance is a plus.
An understanding of World Bank operational rules and/or financing instruments is desirable
