Essential Duties
1. Evaluate and audit agreements for compliance to contractual obligations. Determine the need for amendments or extensions of contracts. 2. Coordinate with the Office of Sponsored Projects and the Office of General Counsel on contractual matters, including sponsored research agreements, corporate documentation or any other agreements relating to Yale's intellectual property. 3. Assist with final review of new licenses and agreements prior to forwarding for execution. Troubleshoot inconsistencies in license language, and work with licensing professionals to resolve issues. Ensure that the University signs agreements after completion of required review and approval processes.4. Perform analysis of potential licensee companies for Export Control management and restricted party screening using Visual Compliance.5. Partner with licensing professionals on past due and upcoming agreement obligations including payments, milestones and reports, and agreement termination related processes. 6. Implement processes for reporting requirements to external university offices which include the Office of General Counsel, The Medical School Deans Office, Development, and the Office of Sponsored Projects.7. Independently review companies, press releases, company websites and news articles to 1) determine whether a company has achieved milestone or change of control events and assess impact on license payments or other obligations to the University, and 2) update internal and external-facing product pipelines.8. Implement processes to acquire, verify and monitor startup company documentation including Articles of Incorporation, Bylaws, Company Charter, Stockholder's Agreement, Stock Purchase Agreement (if applicable), Cap Table, and amendments to the above contracts prior to execution. Oversee the continued collection and review of company information.9. Implement processes to acquire, verify, and monitor Yale's equity holding documentation. Work with the Business Manager and Investments Office to reconcile Yale's holding. 10. Develop collaborative relationships with licensees and communicate status of licensee obligations. Adapt the University's process for invoicing revenue to reflect licensee accounts payable requirements. Create receivables to track revenue owed to Yale and to enable appropriate accounting of revenue for the University. Invoice licensees for financial and non-financial obligations to the University.11. Ensure that database accurately reflects all agreements, agreement terms and licensee compliance with obligations under such terms. Perform routine database management to ensure data integrity and accuracy.12. Implement and maintain strong internal controls in areas of assigned responsibility to provide reasonable assurance of effective and appropriate resource use, accurate financial information, and adherence to contractual obligations and agreements, policies, procedures, and external regulatory requirements. 13. Coordinate with team members on inventor distribution agreement processes to ensure timely receipt and disbursal of revenues to involved stakeholders. 14. Collaborate closely with Yale Ventures team members on budget, revenue forecast, patent reimbursement and related processes. 15. May perform other duties as assigned.

Position Focus:
Reporting to the Senior Director of Intellectual Property Administration, the Licensing Compliance Manager plays a key role in ensuring licensee compliance by meeting all obligations (financial and non-financial) set forth in agreements executed with Yale Ventures. The candidate establishes and maintains strong working relationships with, and provides direct professional support to, internal and external partners to manage agreement compliance. The Licensing Compliance Manager also coordinates with different units within Yale University on due diligence for licenses including but not limited to, Export Controls-related processes, corporate and startup-related documentation, and sponsored research agreements. The position requires a working knowledge of general accounting practices and Yale policies, relational databases, different types of agreements and their related obligations The ideal candidate possesses a high-level of attention to detail and is able to manage workloads with multiple demands and shifting priorities within a fast-paced environment.
Preferred Education, Experience and Skills:
Demonstrated experience in contract administration and transactional analysis. Demonstrated experience in data analysis tools to monitor compliance and identify trends or issues.

Required Skill/Ability 1:
Previous demonstrated experience with agreement management, in particular the commercial aspects including financial invoices and contracting requirements.
Required Skill/Ability 2:
Demonstrated experience working in relational databases and experience transitioning between database systems. Demonstrated experience implementing and working with Salesforce CRM system preferred.
Required Skill/Ability 3:
Proficient in the understanding of contract and patent terminology related to compliance and reporting obligations. Ability to work independently and in a team environment to meet tight deadlines.
Required Skill/Ability 4:
Strong interpersonal & collaborative skills with a focus on excellent customer service. Establish and maintain positive relationships, communicate and comprehend instructions effectively to/from a diverse group of stakeholders, including the ability to exercise discretion and confidentiality.
