Position Overview
The purpose of this position is to lead, manage and directly perform the work of the Due Diligence Team (DDT) by performing the following duties personally and through subordinate employees. This position maintains managerial responsibility over team operations, policies and procedures.
This position is hybrid based out of the office in Alpharetta, GA.
Reports to: SVP Complex Gift Solutions
Management/Supervision: Responsible for managing the Due Diligence Team
Duties & Responsibilities
Strategic Planning for Complex Gift Services and the Due Diligence Team
In collaboration with the SVP Complex Gift Solutions and other CGS managers: assists with the development, implementation and management of strategic plan and direction for CGS, within the framework of NCF's overall strategic plan; and develops, implements and manages the strategic plan, team goals and direction for the DDT.
In collaboration with the SVP Complex Gift Solutions and other CGS managers, develops, implements, improves, and manages delivery of DDT services to givers, relationship managers (RMs), supporting organization (SO) staff, charitable gift annuity (CGA) staff, and other stakeholders.
Meets regularly with the SVP Complex Gift Solutions and other CGS managers to ensure proper coordination and alignment with NCF's mission and strategic plan.
Budget Planning for the Due Diligence Team
In collaboration with the SVP Complex Gift Solutions and other CGS managers, assists with the development, implementation, monitoring and management of the annual budget for the DDT.
In collaboration with the SVP Complex Gift Solutions and other CGS managers, develops guidelines and standards for use and allocation of DDT resources by internal and external stakeholders in an effective and efficient manner.
Management of Due Diligence Team
Develops, maintains, implements and manages appropriate policies and processes for delivery of DDT resources within budget, and consistent with NCF policies, including NCF's Gift Policy.
Ensures technical and legal quality of DDT and CGS services, including legal and tax research when needed, in collaboration with General Counsel's Office, the Finance and Accounting Department, SOs, CGAs, and other CGS teams.
Assists DDT members with intake and sale planning, legal and tax issues, as needed.
Assists all CGS team leaders and members with all complex gift issues, as needed.
Manages development of, use of, and enhancements to DDT resources, including checklists, resource papers, proposal templates, presentations, illustrations, research projects, etc. to ensure efficiency, accuracy and scalability.
Ensures proper timely use of NCF technology by DDT.
Leads and attends meetings of the DDT as needed to ensure team direction, coordination, communication, support and morale.
Affirmatively reaches out to RMs about the performance of the DDT, and receives calls from RMs, advisors and givers with concerns about an issue or the performance of the DDT and CGS, and appropriately resolves issues raised.
Support Beyond the Due Diligence Team
Ensures scheduling of and DDT attendance at meetings with other teams, as needed, to ensure DDT coordination, communication and support to and from other teams, consistent with NCF's mission and strategic plan.
Develops, cultivates and maintains strong relationships with leaders of other NCF teams and affiliates.
Manages the DDT to assist NCF's Offerings, Marketing and Giver Experience and Network Relations Departments in the development of marketing materials.
Training for Due Diligence Team and for Self
Ensures DDT attorneys maintain their license to practice law with at least one state bar association.
Ensures new DDT members receive structured and on the job training needed to perform their roles. Ensure all DDT members receive ongoing training needed to continue to improve the performance of their roles.
Stays informed on legal, economic and marketing issues that may affect the DDT.
Due Diligence Training for other teams and stakeholders
In collaboration with the Network Relations and Offerings, Marketing, and Giver Experience Departments, and other teams and stakeholders:
With the GP Team Lead, stays informed on audits of gifts of complex assets to NCF, and ensures appropriate training is given to all necessary teams and materials are updated.
Develops and maintains a thorough working knowledge of NCF's offerings and marketing related to complex and planned gifts.
Staff Management of the Due Diligence Team
In collaboration with the SVP Complex Gift Solutions and the HR Department, quantifies the ongoing personnel needs of the DDT.
In collaboration with the SVP Complex Gift Solutions and the HR Department, recruits, screens, interviews, evaluates, recommends to the SVP Complex Gift Solutions for hiring, trains, coaches, recommends compensation for, approves expenses and leave for, and disciplines DDT members, including contractors.
Ensures DDT members are clear about their role and duties, including adequate resources, such as tax and legal research materials, to perform them. Ensures resource needs are timely communicated in the budget process, and to the SVP Complex Gift Solutions and other appropriate managers of NCF.
Conducts ongoing performance reviews of DDT members.
Works with DDT members to develop personal goals each year and monitors their achievement.
Develops, implements and monitors appropriate metrics for delivery of DDT services, to measure productivity, efficiency and accuracy.
Meets with DDT members frequently to listen, coach, counsel and discipline them about job performance in order to develop motivated, productive and engaged members.
Delivery of Due Diligence Services
Consistently delivers due diligence services in a competent, highly professional, friendly manner within the DDT service standards, with due regard for the givers' and NCF's well-being and charitable goals.
Communicates with other CGS team members, RMs, advisors, givers, and SO and CGA staff regarding due diligence issues for gifts presented (but refrains from, and disclaims, providing legal, tax, or other professional advice) to anyone other than NCF and its affiliated ministries.
Reviews proposed gift terms and documentation defining the property proposed to be given to NCF or NCF-founded supporting organizations, and documentation and circumstances establishing the obligations and liabilities undertaken by NCF in receiving the property.
Advises whether and how, and under what conditions, to receive property proposed to be given to NCF.
Advises the Asset Management team on legal issues regarding management and sales of assets.
Reviews, edits, drafts, and negotiates agreements and related documents related to holding, leasing, management, operation, or marketing of property; and related to sale and other transfer agreements, and related transfer-out documentation, and assists in effecting transfers out.
Drafts, negotiates, and edits gift agreements and related transfer-in documentation, and assists in effecting transfers in.
Scrupulously adheres to all laws and professional ethical rules, including those regarding the unauthorized practice of law and conflicts of interest.
Other Duties and Responsibilities

Experience
15+ years' experience in private or in-house legal practice, with significant experience in entity transactions and/or real estate transactions required.
Tax and charitable planning experience preferred.
Prior management experience preferred.
Knowledge Base
General knowledge of a charitable complex giving program.
Thorough knowledge and understanding of legal risk analysis, especially with regard to entity transactions and real estate transactions.
General knowledge of tax-exempt organization laws, policies and strategies related to a complex giving program, including legal and entity structure and ongoing asset management.
Knowledge of management skills, preferably in the context of attorneys and either a gift planning operation for a charitable organization; a tax, estate, business, charitable planning, and/or merger and acquisition law practice; or similar organization.
Computer Skills: experience using MS Office applications, intranet, internet, and tax research materials.
Proven aptitude for "real time" problem diagnosis and solving.
