Your Opportunity

We are recruiting for a Managing Director, Treasury Counsel, with demonstrated legal proficiency in supporting corporate treasury activities and capable of assisting with the expansion of such activities. As a member of Schwab's Legal Services organization, you will be responsible for providing legal advice and support to our Treasury department which includes the Liquidity and Funding Management, Securities Lending, Treasury Capital Markets, Corporate Treasury Services, and Treasury Corporate Finance groups. These groups handle liquidity and funding activities across the company, transact the company's securities lending business, and manage investments in the company's portfolios.

Key responsibilities:
  • Drafting, reviewing, and negotiating various legal agreements between Schwab and other institutional counterparties such as master securities loan agreements for the lending of securities, master repurchase agreements for the sale and purchase of securities, master securities forward transaction agreements for the sale and purchase of mortgage- backed securities, and ISDA master agreements and related agreements for interest rate swaps.
  • Maintaining and updating standard forms and templates of master agreements (including schedules and annexes).
  • Reviewing other agreements for the Treasury department, such as credit agreements, bank account documents, custody and clearing agreements and intercompany lending agreements.
  • Supporting the issuance of corporate debt and equity instruments and covenant compliance.
  • Supporting common and preferred stock repurchases and redemptions.
  • Reviewing Treasury group policies and procedures.
  • Advising on legal and regulatory matters affecting the Treasury department and keeping management and other personnel up to date on pertinent legal and regulatory developments.
  • Educating and internal stakeholders about regulatory matters ongoing, upcoming, or predicted.
  • Taking on other projects depending on bandwidth and experience.
What you have

  • JD from an accredited U.S. law school. Admission to and in good standing with the state bar of at least one U.S. state.
  • 7+ years of experience negotiating securities lending agreements, repurchase agreements, forward transaction agreements and derivatives documentation for the Treasury group of a bank or associated broker-dealer or on behalf of financial institution clients.
  • Deep legal and business knowledge, judgment, and ability to support lawyers and business partners in an efficient manner.
  • Knowledge of and familiarity with applicable securities and banking laws and regulations.
  • Strong interpersonal and communication skills (verbal and written) with the ability to collaborate across inter-disciplinary teams.
  • Strong work ethic and ability to make decisions, multi-task, prioritize, and follow through on numerous projects simultaneously.
  • Exceptional client relationship management and negotiation skills required with the ability to assess and effectively communicate processing capabilities and identify alternative solutions for clients and business partners.
  • Execution oriented attitude with the humility, drive, and strong growth orientation.
  • Base compensation: $225,000 - $375,000. Your compensation may be different. Talk with your Talent Advisor to learn more. In addition to the salary range, this role is also eligible for bonus or incentive opportunities.
