We're on the lookout for a Senior Counsel in Procurement & Commercial Transactions to spearhead contract negotiations and risk management across essential business functions such as procurement, marketing, sales, and commercial operations. In this pivotal role, you'll collaborate closely with cross-functional teams to enhance vendor agreements, streamline the contract execution process, and guarantee that our commercial initiatives are in harmony with the company's strategic goals and risk appetite.
The perfect candidate will be a highly experienced transactional attorney specializing in procurement, vendor agreements, and commercial transactions, with a strong focus on marketing, sales, and business operations. The base salary range for this position is dependent on experience and location. The final offer will be determined based on job-related knowledge, skills, and qualifications. Requirements
- Minimum 8 years of legal experience in procurement, commercial transactions, or corporate law.
- Strong background in marketing, advertising, sales, and procurement contracts, with a focus on vendor and commercial relationships.
- Experience negotiating complex commercial agreements, including agency, sponsorship, and vendor agreements.
- Ability to collaborate cross-functionally with marketing, sales, finance, and procurement teams in a fast-paced business environment.
- Strong knowledge of contract law, risk allocation, and commercial negotiation strategies.
- Prior experience in consumer goods, retail, or a highly regulated industry preferred.
Responsibilities
Contract Negotiation & Risk Management
- Lead legal negotiations and execution of agreements for direct and indirect procurement, vendor services, agency engagements, sponsorships, marketing, sales, and commercial partnerships.
- Develop and maintain contract playbooks, negotiation guidelines, and standardized templates to drive efficiency and consistency.
- Balance business objectives with risk mitigation, ensuring commercial contracts align with company priorities and compliance requirements.
- Support procurement teams in pricing strategies, vendor risk assessments, and contract structuring to optimize business terms.
Cross-Functional Commercial Support
- Partner with marketing, sales, and finance teams to structure contracts that support business growth while minimizing legal exposure.
- Review and negotiate marketing agreements, influencer and sponsorship deals, co-branding arrangements, and retail promotions to ensure compliance and business alignment.
- Work closely with sales and commercial teams on key customer and distributor agreements, providing strategic legal guidance on commercial terms.
- Serve as a trusted legal advisor to internal stakeholders, ensuring contract strategies align with company objectives and risk policies.
Process Optimization & Legal Operations
- Drive efficiencies in contract management and vendor onboarding, leveraging legal technology solutions to streamline workflows.
- Implement best practices for procurement and commercial legal processes, ensuring scalability as the business expands.
- Collaborate with finance and business leadership on budgeting, vendor spend management, and financial risk assessments in contract negotiations.
Compliance & Regulatory Considerations
- Ensure all commercial agreements comply with advertising, consumer protection, data privacy, and anti-bribery laws.
- Support the implementation of ethical sourcing, supplier diversity, and sustainability initiatives in procurement contracts.
- Work alongside compliance teams to monitor contract compliance and mitigate regulatory risks in vendor and marketing engagements.
