Description:
We are seeking a highly skilled Senior Counsel to join our legal team. This role is responsible for handling a wide array of legal matters related to technology, data, and analytics, including global licensing, data protection, SaaS agreements, and more. The ideal candidate will possess a deep understanding of technology contracts, experience in process improvement, and strong communication and negotiation skills.

NorthMark Strategies assesses market data to ensure a competitive compensation package for our employees. The base salary for this position is expected to be between $240,000 and $300,000 per year at the commencement of employment. However, base salary if hired will be determined on an individual basis, including as to experience and market location and is only part of the NorthMark Strategies total compensation package, which, depending on the position, may also include commission earnings, discretionary bonuses, short and long-term incentive packages, and company sponsored benefit programs.

Responsibilities:
- Draft and negotiate a wide range of contracts, from routine to complex, including global licensing contracts related to technology, data, and analytics. This includes privacy and data protection terms, information management issues, SaaS agreements, software licenses, professional services agreements, IP licenses, statements of work, and Purchase of Goods and Services terms.
- Create and maintain a database of standard form agreements while continuously improving forms and processes.
- Provide legal advice and support to the company's IT organization and portfolio company management.
- Proactively anticipate, identify, and escalate legal issues, evaluating alternatives and implementing solutions in transactional matters.
- Evaluate and implement efficient and streamlined processes surrounding contract review.
- Identify legal risks and develop plans to mitigate those risks.
- Prepare and deliver training and presentations to employees, management, and other members of the Legal Department on technology-related legal matters.
- Collaborate on complex projects and provide support to other members of the Legal Department.
- Negotiate contractual disputes with external parties, particularly those involving technology.
- Stay informed of legal developments related to technology, including GDPR, CCPA, and other data privacy regulations.
- Manage and direct outside counsel as needed.
Requirements:
- Juris Doctorate Degree.
- Admitted to a state bar (NY preferred).
- Minimum of 8 years of experience, including a combination of corporate legal department and law firm experience.
- Proven career track with documented accomplishments and a broad diversity of legal experiences.
- Ability to handle challenges, including novel agreements and matters, and implement processes to improve the management of those agreements.
- Knowledge and experience with hedge funds preferred.
- Pleasant and diplomatic disposition, with a good sense of humor, adaptability, and a collaborative working style.
- Some international travel may be required.
