Senior Legal Counsel
As Senior Legal Counsel-Public Finance, you will be expected to provide professional legal services in a local environment, in order to enable the business unit(s) to achieve the defined business objectives in accordance with standards and goals set by Legal. This Senior Legal Counsel role will be primarily dedicated to preparing and negotiating transactions for our tax-exempt Public Finance business unit as well as other taxable governmental transactions.

Applicable Pay Range
$144,157.60 - $216,236.40
DLL is considering candidates in numerous locations. The pay estimate displayed represents the typical pay range for candidates hired for this position in the desired primary work location. Pay may be adjusted outside the projected range based on geographical differentiation as well as for any other lawful reason. Additional factors that may be used to determine your actual pay include your specific skills, years of relevant experience you possess, and other work-related qualifications. Many candidates may start in the bottom half of the applicable pay range, especially those with less experience or qualification.
This position is subject to the terms of DLL's compensation plans and policies. Further, the position includes all other benefits provided to DLL employees, including healthcare benefits, 401k matching, vacation, sick leave, parental leave, possible discretionary bonuses, and all other benefits that are all governed by and subject to ERISA plan documents and eligibility.

Day to Day
- Analyze business strategy and department strategies and screen for legal opportunities or risks, particularly risks relating to state and local financing requirements.
- Deliver input and advice for improvement of the Public Finance ("PF") business from a legal point of view.
- Contribute to the development and implementation of policies and procedures.
- Develop, update, implement and maintain high quality PF contract templates and standards for use.
- Implement and employ internal controls to monitor and assess legal risk.
- Negotiate, draft/create documentation and advise the PF business on end user agreements.
- Work with outside legal expertise and liaise with in-house business and legal experts.
- Research legal issues related to federal and state municipal lending laws, secured transactions, leasing and collection practices.

Essentials
- Juris doctorate (J.D.) from an accredited law school. An emphasis on public finance and/or bond law highly preferred.
- 10+ years' experience in a legal environment as a corporate, financial services or transactional lawyer.
- Experience in drafting, reviewing and negotiating contracts is essential, including the ability to write, create or enhance contractual documentation specific to governmental issuances for both taxable and tax-exempt obligations.
- Experience working autonomously in a fast-paced environment is necessary.
- Excellent speaking and writing skills.
- Willingness for occasional domestic or international travel.
- Comprehensive understanding of state-specific municipal lending and contract laws.
- Comprehensive understanding of federal tax laws and regulations affecting tax-exempt issuances, including, but not limited to, working knowledge of the Internal Revenue Code and the associated treasury regulations.
- Acumen to identify the differences and nuances amongst various municipal customer types.
- Awareness of needs, requirements, and limitations of municipal customers' contractual obligations and abilities, including, for example, understanding customers' ability to contract for an array of financial products.
