Work Schedule: Ally designates roles as (1) fully on-site, (2) hybrid, or (3) fully remote. The Opportunity

The Senior Paralegal - Corporate will work collaboratively with teammates within the Corporate Secretary's Office and across the company to support Ally's corporate-governance and securities-law compliance responsibilities at both the public-company and subsidiary levels.

The Work Itself

  • Support all aspects of Board and Board committee meetings, but primarily material preparation, collection, assembly, and distribution.
  • Support activities related to Ally's Annual Meeting of Shareholders.
  • Serve as the primary administrator of Ally's board portal, Diligent Boards.
  • Assist in the facilitation of annual D&O questionnaires and self-evaluations.
  • Draft and circulate written consents.
  • Draft meeting scripts and minutes.
  • Assist in director-education activities.
  • Assist in director and executive officer on- and off-boarding and related tasks.
  • Manage annual governance requirements for various subsidiaries.
  • Assist with legal entity management tasks, including entity formations, mergers, dissolutions, and assumed name filings.
  • Prepare delegations of authority and support requests related to signing authority.
  • Manage requests for corporate information and prepare certifications.
  • Respond to requests for information required for regulatory examinations and internal and external audits.
  • Support securities law compliance matters, such as securities offerings, Section 16, and New York Stock Exchange requirements.
  • Assist in maintaining corporate records.
  • Assist with special projects and miscellaneous duties as assigned.


The Skills You Bring

  • 3+ years of relevant paralegal experience required, in-house experience preferred.
  • Bachelors degree and paralegal certification from an ABA-approved paralegal program required.
  • Proficiency in Microsoft Office and Adobe Acrobat and willingness to learn new software skills. Experience with Diligent Boards, hCue, NetDocs, and/or SharePoint a plus.
  • Must be detail oriented, highly organized, proactive, and possess a strong work ethic.
  • Impeccable record-keeping skills.
  • Analytical thinker with the ability to make quick, sound judgements.
  • Confident communicator with excellent written and verbal communication skills and strong follow-up.
  • Ability to work comfortably, expeditiously, and efficiently while providing support to Board members and executives.
  • Ability to work independently and as part of a collaborative team.
  • Proven ability to handle confidential information with discretion.
  • Willing to work beyond normal business hours, when needed.
  • Willing to travel on occasion to attend Board meetings.

Base Pay Range : $70000 - $120000 USD

An individual's position in the range is determined by the specific role, the scope and responsibilities of the role, work experience, education, certification(s), training, and additional qualifications. We review internal pay, the competitive market, and business environment prior to extending an offer.

Incentive Compensation: This position is eligible to participate in our annual incentive plan.
