Direct Counsel is seeking a Technology & Data Transactions Attorney to join a leading law firm's Data Strategy, Security & Privacy (DSSP) team in Boston. This role is ideal for a 5th-7th year associate with a strong background in commercial technology and data transactions.
Key Responsibilities:
Direct Counsel is seeking a Technology & Data Transactions Attorney to join a leading law firm's Data Strategy, Security & Privacy (DSSP) team in Boston. This role is ideal for a 5th-7th year associate with a strong background in commercial technology and data transactions.
Key Responsibilities:
- Draft and negotiate complex technology and data-related agreements, including:
- Software development and licensing agreements
- Cloud computing agreements
- Master services agreements
- Reseller and revenue-sharing agreements
- End-user license agreements
- Work across a broad range of industries, including fintech, healthcare, retail/e-commerce, transportation, energy, construction, hospitality, education, and real estate.
- Provide support on mergers & acquisitions, financings, and other multidisciplinary transactions, including due diligence.
- Advise on privacy and cybersecurity provisions in contracts and compliance with privacy laws (e.g., CCPA, GDPR).
- Collaborate cross-functionally with commercial teams to address IT, licensing, and information security issues.
- 5-7 years of relevant experience in a law firm and/or in-house setting.
- Strong experience drafting and negotiating technology, intellectual property, and data-related commercial contracts.
- Familiarity with M&A due diligence, open-source software issues, and IT/security-related contract provisions.
- Excellent analytical, drafting, and communication skills, with the ability to translate complex legal concepts for clients.

- Salary range: $310,000 - $390,000 (based on qualifications and experience).
