Job Summary

The Contracts Manager ("CM") takes a leading role in the legal department in the procurement of new and ongoing projects, including prime contract review, subcontract review and subcontracting processes, as well as assists with general corporate governance matters, all of which are under the guidance and direction of the Company's In-house counsel.

Essential Functions

  • Communicates a clear vision of the Company's contracting philosophy to its customers, suppliers, and subcontractors. Prepares or assists in the preparation and negotiation of subcontracts, purchase orders, and service agreements. This includes identifying provisions in the customer/owner contracts and in subcontractors' proposals to include in the Company's subcontract agreements. The CM also coordinates with purchasing agents, estimators, and project management to assure accuracy and completeness of subcontract agreements.
  • Reviews owners' requests for proposals and proposed contracts for legal/risk issues and prepares summary risk profile for the internal estimating team (approx. 2-4 bids per month).
  • Assists in-house counsel in the development of the overall contracting philosophy to the business unit in coordination with and with the guidance and direction of the assigned attorney. This may include negotiating with customers to reach resolutions of fundamental contracting points. This includes preliminary review and analysis of contracts, bid proposals and subcontracts, including red-lining documents, conferring with the business unit and various departments, and developing acceptable contract modifications to address ambiguities, inaccurate statements, omissions of essential terms, and conflicts with possible legal prohibitions.
  • Educates project personnel and others on the application of the contract documents to the performance of work by developing contract reference notebooks and in person training of project teams alongside the assigned attorney.
  • Acts as the principal point of contact for project procurement throughout the project lifecycle. The CM leads weekly procurement update meetings and facilitates requests for the status of agreements and changes to agreements, including receiving and reviewing the initial request, preparing a draft of agreed exceptions, coordinating the response between the project and legal personnel, and coordinating final execution once the revisions are agreed. This responsibility also includes updating procurement tracking sheets and change order logs for each project as activities progress, filing executed agreements in the Company's document management system (ELO), updating insurance and bond holds, and submitting federal contract reporting information for required projects.
  • Reviews credit applications for problematic terms and conditions.
  • Drafts Confidentiality Agreements and other miscellaneous agreements, as needed using templates.
  • Assists in corporate governance including corporate filings, drafting policies and procedures, overseeing circulation and execution of certificates, etc.
  • Creates and edit templates in Word template software (HotDocs).
  • Attends, if needed, quarterly JV meeting(s) and takes meeting minutes to distribute to required parties.
  • Performs other duties, as assigned.

Required Skills & Experience

  • 5+ years job-related experience drafting and reviewing contracts; construction company experience preferred, not required.
  • Bachelor's degree required; master's degree preferred.
  • Ability to work cooperatively and collaboratively with all levels of employees, management, and supplier/sub-contractors.
  • Strong verbal and written communication skills.
  • Strong prioritization and organizational skills; detail oriented.
  • Ability to manage multiple tasks against set deadlines.
  • Dependable, self-motivated, and task oriented.
  • Experience with HotDocs and Adobe Sign a plus.
  • Working knowledge of Microsoft programs.
