PRIMARY FUNCTION
The Assistant General Counsel, Contract Administration will have primary responsibility-with support from senior Legal Department personnel-for the administration of contracts for the entire Pediatric Associates Family of Companies enterprise (the "PAFC"). These responsibilities include drafting, reviewing, managing, and administering contracts, and in some cases, contract negotiation. In addition to the broader contracting responsibilities, this role shall prioritize and have primary responsibility related to managed care agreements and Clinician contracting. Further, the role will be the primary contact related to contract administration and will manage the enterprise's contract management system and is expected to establish enterprise-wide contracting and contract administration best practices.
ESSENTIAL DUTIES AND RESPONSIBILITIES

Drive and support contract formation process through the negotiation, drafting, review, and finalization of contracts for all departments throughout the Pediatric Associates Family of Companies enterprise, including, but not necessarily limited to, payor agreements, master service agreements, procurement agreements, non-disclosure agreements, software and IT related agreements, consulting agreements, inter-company agreements, and government contracts, both individually and in partnership with Legal Department colleagues. Serve as primary legal contact for the negotiation, drafting, and formation of managed care payor agreements across the PAFC enterprise. Provide legal support and guidance to the clinician (both Physician and Advanced Practice Provider) contracting function including the development and/or maintenance of form clinician employment agreements. Stay current on changes in healthcare laws and regulations and proactively identify potential legal risks for PAFC associated with clinician contracting; and conduct legal research and provide recommendations to leadership on complex legal issues related to clinician contracting. Develop and/or maintain form vendor contract templates, including standard terms, forms, and procedures for contract formation. Accurately and clearly communicate to internal clients the meaning of contract terms and associated risk as such risk relates to the business of the Pediatric Associates Family of Companies. Ensure that contractual arrangements meet financial targets and legal/regulatory compliance requirements. Conduct ongoing assessments of and make recommendations for strategic initiatives, goals, and objectives related to contracting and contract administration. Responsible for updating and implementing enterprise-wide policies and procedures related to signatory authority, contracting, and contract administration. Collaborate with other departments as needed to support, develop, and facilitate enterprise-wide contracting and contact management initiatives. Supports Legal Department reporting to the Board of Directors. Performs other duties as assigned by senior Legal Department personnel.

QUALIFICATIONS
EXPERIENCE
- Minimum 7 years as a practicing attorney, preferably a combination of law firm and in-house
- Minimum 4 years of legal practice directly related to a health care environment
- Minimum 3 years of contracting administration (negotiating, drafting, reviewing, enforcing, etc.)
EDUCATION
- Juris Doctorate from an accredited U.S. law school required
LICENSURE / CERTIFICATION
- Bar licensure and, if not licensed by the Florida Bar, eligible to register as in-house counsel in the State of Florida

- Experience in negotiating, analyzing, drafting, and reviewing contracts, statements of work, and business proposals
- Experience drafting physician and advance practice provider employment agreements
- Advance level of proficiency in Microsoft Office applications including Word, PowerPoint, and Excel
- Strong verbal and written communication skills
- Flexibility and ability to effectively perform in a fast-paced environment, and responsive to multiple requests with a strong sense of urgency
- Excellent interpersonal skills and ability to interact effectively with all tenure levels and across departments and business units
- Highly dependable, professional integrity, good judgment, and respect for confidentiality
