Responsibilities
New opportunity based in Billerica MA (hybrid work from home and office model) for a Senior Manager of Technical Accounting with Merger and Acquisition ("M&A") and Investment expertise to join the Bruker Finance Team. The Senior Manager of Technical Accounting - M&A, will work closely with the Assistant Director of Technical Accounting, Assistant Controller, and Controller, to address matters that are significant and visible within the organization, with a focus on strategic investments and M&A accounting. Additionally, this position is expected to develop and cultivate strong working relationships with Finance, IT, Audit, Legal, HR, and business unit professionals to successfully achieve the objectives of the assigned projects. This role will report to the Associate Director, Technical Accounting.

- Manage and ensure timely completion of merger and acquisition activities including contact review, opening balance sheet procedures, valuation procedures, preparation of the acquisition memo, and post-acquisition accounting support.
- Evaluate and propose initial accounting for early-stage minority investments, equity method investments and M&A activities.
- Perform on-going reviews for portfolio investments, including for impairment indicators and fair value adjustments and makes recommendations on accounting.
- Partner with key stakeholders to address technical acquisition related issues and assist in due diligence review.
- Assist with purchase price allocation studies performed by third party valuation firms and other valuations at newly acquired businesses.
- Partner with minority and equity method investment company management to prepare and review post-acquisition balance sheets.
- Lead the annual goodwill impairment evaluation under ASC-350.
- Assist in establishing accounting policies for accounting for acquisitions and investments, as well as periodic maintenance of new and existing Bruker accounting policies.
- Perform extensive review of new accounting pronouncements and provide recommended applications to the company.
- Participate in the oversight of the internal controls program including performance of selected financial reporting controls, assistance with documentation of any deficiencies, and communicating with global control owners.
- Participate in the quarterly and annual close process as required, including: Impairment review procedures, Non-controlling interest accounting, Segment analysis, Review and preparation of selected footnotes.
- Assist the business with complex transactional activity with US GAAP guidance to ensure proper recordation into the local general ledger in addition to potential future budgeting and forecasting implications
- Assist with the development and training of the Technical Accounting junior team members
- Support the annual audit process with the external accounting firm, as required
- Perform other duties as required.
Qualifications
- Minimum 8 years' recent work experience in Technical Accounting roles which include at least 3 years recent Investments, M&A focus and a mix of public accounting and publicly held company work environments.
- Bachelor's degree in accounting, Finance, or Business Administration with Accounting/ Finance concentration required.
- MBA and / or CPA preferred.
- Advanced knowledge of U.S. GAAP, financial controls (SOX 404 and COSO framework), leading practices, process analysis, and risk assessment.
- Excellent verbal, written, listening, computer, quantitative, and proposal communication and presentation skills, including fluent English, SAP, advanced MS Office Suite proficiency.
- Successful track record of working effectively in a matrix environment with proven ability to gain commitment and coordinated action for initiatives: foster collaboration and new ways to forge higher levels of teamwork within and between groups.
- Demonstrated ability to successfully multi-task the management and delivery of multiple complex projects with key stakeholders in a dynamic, fast-paced environment.
