The Legal & Compliance department ensures our business operations and processes are compliant with all state and federal requirements. They keep Abarca updated on all regulatory and legislative developments to mitigate the impact on the services we offer! They're also the team we go to for channeling services from our external legal counsel and working on matters related to tax, audits, managing codes of conduct as well as corporate, and healthcare law.
The Corporate Counsel is responsible for reviewing contract drafting and business documentation received or prepared by the company (such as pharmaceutical industry requests for proposals and/or responses to RFPs). Additionally, support regulatory compliance research and analysis and other consults from business units and clients.

The Corporate Counsel is responsible for reviewing contract drafting and business documentation received or prepared by the company (such as pharmaceutical industry requests for proposals and/or responses to RFPs). Additionally, support regulatory compliance research and analysis and other consults from business units and clients.
The fundamentals for the job...
- Draft and review agreements, contracts and other business documents of vendors, business partners, and clients, such as but not limited to agreements on rebates, clients, vendor management, pharmacy providers, business associate, and non-disclosure.
- Support Abarca's contractual negotiation processes and act as a liaison between Abarca and contracting parties during these processes.
- Assess consultations and inquiries and provide legal advice to Abarcan stakeholders on corporate matters such as corporate governance, intellectual property, employment and talent strategy, marketing, business development, and client requests, among others.
- Prepare training materials and provide training on legal matters.
- Draft and develop Legal policies and procedures to ensure sound contracting processes.
- Provide legal support to the Business Development team for all work related to the Company's growth strategies (including Requests for Proposals ("RFP") and other pre-contracting documents).
- Ensure contracts are executed and stored in Abarca's systems.
- Stay current with regulatory and industry requirements to ensure contracts comply with the latest guidelines and regulations.
- Maintain repository of applicable certifications to Abarca.
- Support other functions related to the Legal Department as needed.
What we expect of you
The bold requirements...
- Juris Doctor Degree. Admitted to the Puerto Rico Bar (Puerto Rico Supreme Court).
- 3+ years of work-related experience in legal with a strong emphasis on business, commercial contracts, and complex transactions.
- Experience researching and utilizing legal research systems (Microjuris, Lexisnexis, Westlaw, etc.).
- Excellent oral and written communications skills, bilingual fluency in Spanish and English is required.
- We are proud to offer a flexible hybrid work model which will require certain on-site workdays (Puerto Rico Location Only)

- Healthcare experience is preferred.

- Must be able to access and navigate each department at the organization's facilities.
- Sedentary work that primarily involves sitting/standing.
