Capitalization
- Maintain relationships with existing capital partners and lenders
- Identify new prospective stakeholders and develop those relationships
- Manage capacity constraints amongst lenders and track desired investment parameters amongst joint venture relationships
- Draft, review, and distribute investment memorandums to prospective internal and external stakeholders and serve as liaison between prospects and development team for follow up due diligence requests
- As part of being responsible for all debt and equity originations:
- Negotiate equity term sheets and joint venture documentation across new and existing relationships, including:
- Promote and fee structures
- Cost overrun sharing
- Management rights and major decision rights
- Negotiate debt term sheets and loan documents across new and existing relationships, including:
- Leverage
- Guarantor provisions
- Pricing
- Maturity dates, extension tests, and other covenants
- Deposit requirements
- Negotiate equity term sheets and joint venture documentation across new and existing relationships, including:
- Review development team underwriting and financial modeling to ensure consistency in assumptions across portfolio opportunities
- Collaborate with team members to provide capital markets expertise
- Liaise with our investment committee, including deal pitches, reporting, and calling capital
- Manage closing process for all new capitalizations
- Develop and maintain detailed checklists and timelines for each transaction
- Assist development team for financial projections
- Track and report ongoing lender and equity partner covenants to ensure compliance
- Assist with disposition of assets, waterfall calculations, settlement statements, and distribution of capital
- Perform other related business duties as needed
- 4-8 years of work experience in commercial real estate capital markets
- Bachelor's or master's degree in business, finance, or related field
- Expertise in commercial real estate and financial modeling
- Ability to manage multiple tasks at once, to prioritize and manage time effectively, be flexible with the ability to work independently
- Foundational understanding of capital markets related legal documents including joint venture agreements, loan documents, and guarantees
- Detail oriented with excellent leadership, organizational and problem-solving skills is essential
- Effective oral and written communication skills are required
- Ability to put the company's or project's best interest ahead of their own
- Proficient in Excel
- Deep understanding of commercial real estate loan underwriting requirements and procedures
- Previous experience in a similar role is required
- Ability to manage multiple projects and work effectively as part of a team and individually
- Strong analytical and critical thinking skills, with the ability to analyze risk and identify mitigating factors
- Experience with title/escrow is beneficial
