Description:
The Microsoft Corporate, External and Legal Affairs (CELA) department has an immediate opening for an experienced attorney to join our Microsoft Federal CELA sales and services team in the role of Principal Corporate Counsel. This role will provide legal support to Microsoft Federal's Customer Vertical Unit (CVU) that provides product sales and services for the U.S. Department of Defense (DoD). This role will provide support across legal, compliance, and regulatory matters related to the DoD's purchase of Microsoft's portfolio of software, cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service, Network as a Service), emerging technologies such as Artificial Intelligence (AI), devices, and professional services (product support and consulting). This role will have frequent engagement with all levels of Microsoft executives, technical experts, outside partners, U.S. Government agencies and vendors as well as the breadth of Microsoft's global CELA team.

Responsibilities:
- Providing legal guidance and government transactional sales and procurement/acquisition support to the Microsoft Federal DoD CVU involving complex cloud computing and emerging technology including AI.
- Drafting, reviewing, and negotiating a wide range of agreements, including direct and indirect sales contracts, task orders, reseller agreements, Other Transaction Authority (OTA), strategic partnership, licensing, consulting services, product support, and other agreements with U.S. Government customers and partners.
- Legal support of Government Wide Acquisition Contracts (GWACs), Federal Supply Schedule contracts, partner channel programs, Federal prime/subcontractor agreements, RFX responses, and related coordination across internal business and legal stakeholders
- Providing legal guidance and support to business clients relative to bid protests, government data rights, NDAs, FOIA, ethics and compliance, privacy law, dispute resolution and other general legal matters.
- Monitoring legal trends, changes in laws and regulation and identifying compliance challenges, and mitigations
- Delivering training for the DoD CVU on legal topics
Qualifications:
Required/Minimum Qualifications
- Juris Doctor Degree or international equivalent degree AND 4+ years experience as a government contracts attorney with a public sector agency, in-house, or law firm (or a combination);
- OR equivalent experience
- Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
- Experience in supporting complex enterprise sales, or government agency procurement/acquisition of, IT products (specifically SaaS/PaaS/IaaS) and professional services involving DoD
- Experience with FAR/DFARS, commercial item procurement, RFX review/proposal/awards, Multiple Award Schedules, GWACs, Transaction Authority (OTA), Cooperative Research and Development Agreements (CRADA) and other unique US Government contracts and requirements
- Demonstrated ability to work efficiently, meet demanding deadlines and balance multiple tasks in a fast-paced environment with minimal supervision;
- Working knowledge of Microsoft Outlook, Office, Word, Teams, and PowerPoint
- Ability to work independently and partner effectively in a team environment.
