CPC Climate Capital is a new subsidiary within The Community Preservation Corporation (CPC) and a sub-award partner of Climate United Fund. CPC Climate Capital will support Calvert Impact in the deployment of approximately $2.5 billion in Greenhouse Gas Reduction (GGRF) funds by advancing the CPC Climate Capital Multifamily Decarbonization Strategy nationally. CPC Climate Capital was selected to administer a portion of the awarded GGRF funds on behalf of the Environmental Protection Agency (EPA) to provide subordinate debt financing to owners of multifamily housing nationally to reduce or eliminate on-site fossil fuels, thereby reducing greenhouse gas emissions. These climate goals will be simultaneously delivered against other critical national priorities, including the creation and preservation of affordable housing, promoting equity and environmental justice, and support of high-quality jobs.

Climate United is a partnership of three national non-profits-Calvert Impact, The Community Preservation Corporation (CPC) and Self-Help-that are complementary in their expertise and like-minded about the imperative to make sure that all Americans, particularly those bearing the greatest burden from the climate crisis, participate in and benefit from the movement to reduce carbon emissions. Between them, the organizations have 120 years of experience directly deploying more than $30 billion in low-income communities that are disproportionately affected by climate change. The core partners will be joined by multiple deployment and implementation partners to assist with management and mobilization of $6.97 billion from the National Clean Investment Fund established by the federal government as part of the Inflation Reduction Act.
Role Summary:
The Community Preservation Corporation, through a subsidiary known as CPC Climate Capital, will be a subrecipient of Climate United Fund of grant funds from the Environmental Protection Agency's Greenhouse Gas Reduction Fund ("GGRF"). CPC Climate Capital will deploy GGRF funds to decarbonize multifamily housing. With a focus on program implementation, this role will provide expert legal advice on a range of government grant and federal assistance issues, including advising on government grants, uniform guidance, compliance, procurement, administrative and regulatory law, general corporate governance. The Senior Attorney will work with other members of the legal team and the compliance team to ensure that CPC Climate Capital's operations and loans secured by multifamily housing align with federal regulations, including those related to GGRF.

This is a hybrid role that can be based in either NYC and would work out of our Manhattan office 2 - 3 days a week or remote in Washington DC and will need to periodically travel to our Manhattan office. The salary range is $170,000 - $200,000, dependent on experience.

The Senior Attorney will work with other members of the legal team and the compliance team to ensure that CPC Climate Capital's operations and loans secured by multifamily housing align with federal regulations, including those related to GGRF.
What You'll do:
- Provide legal advice and representation relating to federal grants and federal regulations.
- Identify and proactively address legal and compliance needs within the organization.
- Provide legal advice and counsel on a wide range of government grant issues, including procurement, subrecipient oversight, cost allowability, internal audit and external audit preparations, ethics and conflict of interest.
- Work with internal and external parties to help create and/or modify practices and procedures to ensure compliance with policies and the grant's requirements.
- Collaborate with internal stakeholders, including production, compliance and operations to identify and mitigate compliance risks.
- Create compliance checklists and procedures for closing transactions in compliance with program requirements.
- Work with CPC business units to identify regulatory obligations within each business unit and ensure compliance with all requirements.
- Negotiate and draft grant documentation, subaward documentation and documentation for use by program beneficiaries.
- Create process for working with outside closing counsel to ensure all closing requirements have been met prior to closing.
- Assess on-going reporting requirements in connection with the GGRF funds.
- Work with the prime recipient as needed to coordinate reporting and compliance.
- Assist with federal procurement documentation and process.
- Effectively communicate compliance processes and procedures across the organization.
- Provide legal support to the General Counsel on corporate governance matters.
- Perform other support tasks for the Legal Department as needed.
- Perform other duties, as directed or required.
Skills and Experience:
- Juris Doctor degree, with admission to and good standing in the New York State bar.
- 10-12 years' experience focused on implementation of federal programs, government grants and uniform guidance.
- Experience working with or within federal agencies (particularly the EPA) or with federally funded programs and experience from a top law firm, is highly desirable.
- Working knowledge of relevant federal requirements (e.g. 2 CRF Part 200 and OMB circulars).
- Experience with multifamily lending and affordable housing programs.
- Experience with programs focused on electrification or building sustainability is a plus.
- Strong attention to detail with an ability to multi-task and respond well to pressure and competing deadlines.
- Ability to work closely with colleagues in Legal Department and in CPC's business lines.
- Superior analytical, oral and written communication and presentation skills.
