Stonehage Fleming Law US1 is a boutique law firm based in Philadelphia, Pennsylvania, that focuses on international and domestic tax planning, tax compliance, and trust and estate planning and administration for private clients and private investors. Because our client base consists almost exclusively of ultra-high net worth individuals, many of whom own or control closely-held businesses; our practice also involves establishing tax-efficient structures and governance arrangements for operating and investment entities, as well as developing and implementing business succession plans. The founder of the law firm, Peter Rosenberg, is also President of Stonehage Fleming US LLC, which manages the United States operations of Stonehage Fleming. Stonehage Fleming is one of the world's largest international multi-family offices, with eleven offices in North America, Europe, Africa and the Middle East. We work closely with Stonehage Fleming attorneys and advisors for mutual clients all over the world, many of whom have widespread assets and family members and therefore face myriad multijurisdictional legal issues.
OVERALL PURPOSE
Based in our Philadelphia office, this role has a heavy tax focus and requires an attorney who is both interested in and capable of dealing with income, estate, gift, and generation-skipping transfer tax concepts on a daily basis. To succeed in this role, the attorney must also have the ability to understand applicable United States tax treaties and basic taxation principles of a number of other nations common to many of our clients. The role requires an attorney with excellent writing skills, both in preparing legal documents and in communicating complicated legal concepts to lawyers and non-lawyers alike. We emphasize a multi-faceted approach to client advice and service, which involves cultivating long-term relationships with clients and family groups in a recurring role as counselor and advisor. The role involves frequent interaction not only with clients and their family members but also with other professional advisors and fiduciaries. Consequently strong interpersonal skills are critical to success in this role.
Key Responsibilities
PRINCIPAL ELEMENTS AND ACCOUNTABILITIES
Provide advice on legal and tax matters for residents and non-residents, including:
Applicability of Federal and state taxes generally
United States ("US") estate, gift, and generation-skipping transfer taxes
US income taxation of individuals, estates, trusts, corporations and partnerships
US income taxation of foreign trusts, controlled foreign corporations and passive foreign investment companies
US estate and trust planning and administration
Closely-held business governance and succession planning
Prepare legal documents, including:
Wills, trusts, powers of attorney
Partnership agreements, operating agreements, shareholder agreements
Minutes, resolutions, assignments, transfers
Purchase/sale agreements, promissory notes, security/pledge agreements
Research and writing, including:
State and Federal tax and common law research memoranda
Comprehensive writings explaining legal concepts and related documents
Legal opinions
Tax compliance, including:
Preparation and review Federal estate and gift tax returns
Preparation and review of state and Federal fiduciary income tax returns
Preparation and review of Federal tax compliance forms, such as Forms 3520, 3520-A, 5472, 8832.
Consult with and coordinate advice from third-party professionals. Engage in training, lecturing and writing for specific clients and wider audiences Moderate international travel required
QUALIFICATIONS AND EXPERIENCE REQUIRED
Active bar license for a jurisdiction in the United States. PA, DE, FL and/or NY preferred
Master of Laws (LL.M.) in taxation preferred but not required
Experience of 3-5 years in tax or private-client practice
Large firm experience preferred but not required
Excellent oral and written communication skills required
Candidates completing an LL.M program in tax with top academic credentials but no experience will be considered
