Position Description:
The BoardSecretariat is a key leadership role responsible for overseeing the governance,administration, and operational management of the Board of Governors. This roleis integral in policy development, ensuring compliance, and enhancing Boardgovernance. Reporting directly to the General Counsel, the Board Secretariatacts as a strategic liaison between the college's executive team and the Boardof Governors, providing guidance on governance procedures and supporting Boardand committee functions effectively.

Key Responsibilities:
- Board Policy Management & Oversight
- Lead and oversee policy development, review, and reporting for Board-related policies.
- Ensure compliance with policy obligations, including whistleblower disclosures and assessments.
- Work with legal counsel to document and communicate policy updates to all relevant stakeholders.
- Board Governance Management
- Maintain corporate records, bylaws, and confidential Board documents.
- Act as an advisor to the Chair and Board members, managing governance tools and frameworks.
- Support Board orientation, training, and ongoing governance improvement initiatives.
- Board & Committee Administration
- Manage Board and committee operations, including agenda creation, documentation, and meeting logistics.
- Track and communicate Board decisions, ensuring proper follow-up and execution.
- Develop and oversee public-facing Board content for the College website.
- Effective Ongoing Board Engagement
- Oversee the recruitment, appointment, and orientation of Board members.
- Serve as Chief Electoral Officer for internal Board elections.
- Maintain and manage the Board's skills matrix and succession planning.
- Board Secretariat Leadership
- Provide leadership across the College on governance best practices.
- Engage with College management to ensure governance processes align with emerging trends and compliance standards.
- Other duties as assigned.
Educational andExperience Requirements:
- Four-year degree in Business, Public Administration, Political Science, or a related field.
- Certification or training in Board Governance.
- Minimum of 9 years in an executive environment with experience supporting senior-level executives.
- Expertise in board governance, policy management, public policy, or administration.
- Proven track record of managing sensitive issues and collaborating with diverse stakeholders.
- Familiarity with the College sector, provincial legislation, and governance practices is essential.

- Excellent verbal and written communication, analytical, and project management abilities.
- Skilled in creating professional presentations and supporting documentations.
- Skilled in board governance models, records management, and conflict resolution.
