Position Overview

The Senior Legal Counsel will be a key member of the legal team, reporting to the General Counsel. The successful candidate will work closely with various business groups and will be directly involved in complex business transactions including negotiating project subcontracts, supplier contracts, providing contract management support, HR support, as well as support of all other departments. The Legal Counsel role is a hands-on, roll up your sleeves position within a legal department currently comprised of three attorneys. The preference is that this position will be on site at our headquarters in Westborough, MA, with the ability to work from home up to two days per week, however highly qualified remote candidates will be considered.

Key Responsibilities
  • Support project execution, procurement and other contracting activities: review, draft and negotiate subcontracts, supply contracts, and manage various related operational issues.
  • Provide legal guidance to our Grid Integration team; review and edit change orders, contract amendments, notices, etc.
  • Draft, negotiate and track all NDAs (proforma and customer templates); advise all teams on confidentiality matters.
  • While dealing with complex, significant matters that cut across legal, commercial and technical areas, evaluate and weigh multiple inputs and impacts of decisions or course of action on the business.
  • Provide general in-house legal support to all function groups of the company under the guidance of the General Counsel
  • Deal with external parties (customers, supply chain, outside counsel, etc.).

The position requires:

  • Overall broad legal knowledge in the field of contracting; experience with projects involving renewable energy or in other relevant industries (including construction, equipment supply contracts, subcontracts and the like) is a plus.
  • Demonstrated ability to provide business-oriented legal advice and recommendations.
  • Excellent business judgment and appropriate decision-making ability.
  • Strong analytical and problem-solving skills combined with attention to detail and thoroughness
  • Proven ability to "roll up" their sleeves and get involved at a detailed level.
  • Strong communication skills; ability to present clear and practical legal arguments.
  • Excellent organizational skills and ability to manage and track work.
  • Excellent interpersonal skills and a capacity to build strong working relationships on the legal team and across the organization.
  • Strong initiative with an ability to work independently but will not hesitate to ask questions or seek guidance.

Qualifications
  • Title, responsibilities and compensation commensurate with experience.
  • Experience working for a solar, wind, and or energy storage company, or in the construction industry is a plus but not required.
  • 5+years minimum experience; In-house experience or a combination of in-house and law firm experience is also a plus.
  • 2+ years' experience working on complex contracts, procurement and transactional issues.
  • Possession of a Juris Doctorate issued by a law school accredited by the American Bar Association.
  • MA Bar license; others considered subject to obtaining MA Bar in-house authorization.
  • Bilingual - Korean a plus.
