What is the role?

This position is responsible for providing executive level administrative support to the Board of Directors, President/CEO, Audit Committee, and Nominating Committee. Makes administrative decisions based on organization policies, implements and monitors various Administrative Services projects and exercises independent judgment within established limits.

What will be expected of me?
  • Provides executive level administrative support to the Board of Directors, President/CEO, Audit Committee and Nominating Committee, as assigned, including managing calendars by scheduling and arranging internal and external meetings and appointments.
  • Documents proceedings of all Board, Audit Committee and Nominating Committee meetings through the notation of minutes. Serves as scribe for additional meetings, as needed, including the Annual 401(k) CAP Plan meeting.
  • Maintains in-depth understanding of the Director's Manual and Corporate Policy Manual in order to advise the Board of Directors and President/CEO on proper governance procedures in accordance with the board bylaws and other legal requirements and keeps all mandated disclosures and trainings up-to-date. Provides required reporting to the Secretary of State.
  • Responsible for the coordination of Board agendas with the Chairman and President/CEO, while also ensuring compliance with bylaws and policy requirements for Board topics and deliverables. Maintains the accuracy and completeness of the Board portal.
  • Monitors and identifies to the Chairman items from the Board calendar in DM 4420 for review or action by the Board for the regular monthly Board meeting or during the month.
  • Oversees and coordinates the daily operations of the administrative services team, ensuring efficient workflow, resource allocation, and timely completion of tasks.
  • Provide leadership and guidance to the administrative services team, fostering a collaborative environment while maintaining high standards of service and performance.
  • Receives incoming communication or memos on behalf of Board of Directors and President/CEO, reviews contents, determines importance, and summarizes and/or distributes contents to appropriate staff.
  • Responsible for expense report-related activities, such as receipt collection and follow-up, preparation and submission of expense reports, and corporate credit card billing reconciliation for the Board of Directors, President/CEO and Audit Committee.
  • Coordinates all meetings and events of the Board of Directors and Audit Committee. Secures meeting space, negotiates contracts with venue partners, arranges for food and beverage services, handles meeting access logistics (conference lines, WebEx, etc), prepares agendas, assembles and distributes meeting materials and records meeting minutes.
  • Coordinates with Legal Counsel for the review and annual update of the Director's Manual for Board approval.
  • Ensures that the Board of Directors and Committee Members are fully advised in advance of significant Westerra Credit Union and community events and Credit Union related conferences for educational opportunities.
  • Coordinates the governance review cycle of the Corporate Policy Manual for the Board of Directors in order to ensure that all sections are reviewed annually and updated as approved.
  • Manages access and availability of Director's Manual and Corporate Policy Manual by staff.
  • Responsible for maintenance of corporate records ensuring compliance with regulatory retention requirements. Prepares confidential correspondence and presentations for Board of Directors and President/CEO.
  • Serves as process owner for Board and Board committee processes by building process meeting teams, ensuring timely progress, tracking issues and metrics, and manages governance review cycles.
  • Coordinates travel arrangements for the Board of Directors, President/CEO, and Audit Committee including conference registration, air travel, hotel accommodations and ground transportation.
  • Consistently demonstrates the Westerra Way Experience and complies with all policies and regulations.
  • Review and coach the work of other professionals who report to the Manager.
  • Other duties as assigned.

What am I bringing?

Experience/Education:
  • 6+ years administrative experience supporting executive level leaders and Boards of Directors
  • 3+ years of management experience
  • Bachelor's Degree in Business (preferred)
  • Financial Institution experience (preferred)

What is the work environment like, and are there physical requirements for this role?
  • Role based out of our Cherry Creek (Denver) Headquarters
  • Works primarily at desk
  • Some travel required to travel to support events
  • Ability to lift 25 pounds

Salary: in addition to the starting annual rate of $78,204 - $97,754, this role is also eligible for Westerra's self-funding reward plan. This plan pays out a cash incentive annually if Westerra hits specific criteria tied to financial goals and this role has a direct impact on the outcome of those results!
