The Legal Department of IFC (CLED), under the Vice President and General Counsel, Legal and Compliance Risk, provides legal and policy advice to the IFC Board, its Management and client departments on operational, advisory, and corporate matters. CLED supports client departments in (i) the delivery of IFC's annual program of financing private sector projects in emerging markets, advisory services, as well as early stage engagements and pre-investment project development work to identify opportunities for private sector investments and creating markets ("Upstream"); (ii) project portfolio management (including jeopardy projects and projects in litigation); (iii) the delivery and design of structured finance products, sub-national lending, equity and quasi-equity and public-private partnerships, and investments in funds, as well as platform products; (iv) advising on corporate policy and operational matters; and (v) knowledge management and training.
Special Operations Department (CSO)
The CSO department seeks to resolve the problems and special issues in IFC's portfolios related to debt, equity, quasi-equity, and other types of investment instruments and to optimize the Corporation's overall return on a net present value basis (including for B-Loan Participants) while minimizing reputational risk and, where possible, maximizing developmental impact. CSO also shares its experiences and lessons learned with the rest of the Corporation to improve portfolio management and the structuring of new investments.
CSO uses a variety of techniques and strategies, including restructuring, sale of IFC position, legal action or other approaches depending on the outcome of the financial and operational analysis of the specific project, to maximize the value/recovery of IFC's distressed portfolio. CSO focuses, where possible, on maintaining investee companies as going concerns because it tends to lead to better value realization for IFC and other stakeholders and because this approach tends to produce a more favorable development impact.
To strengthen CLED's capacity to support IFC's growing portfolio covered by the CSO department and attend to litigation and potential litigation matters, we are recruiting a Senior Counsel to cover these aspects. The location of the position will be Washington DC.
Duties and Accountabilities
Provide advice and support to investment clients, in particular the Special Operations department, with a focus in the areas of debt rescheduling, restructurings and workouts, bankruptcy and insolvency, litigation, and project and corporate finance generally
Assume primary lawyer responsibility for new and portfolio projects, with an emphasis in investments that are in jeopardy
Advise business colleagues on the selection of outside counsel, managing outside counsel and legal cost as appropriate
Assist with assessing and enhancing litigation risk management systems and procedures as appropriate
Obtain and expand knowledge, experience and best practices arising from lessons learnt from doing business in the areas mentioned above and effectively sharing this knowledge.
Selection Criteria
Graduate or Post-graduate degree in law (J.D, L.L.M., PhD, or equivalent), and must be qualified to practice law in at least one jurisdiction; At least 15 years preferred practicing law with demonstrated work experience in debt restructurings, workouts, bankruptcy and insolvency, litigation and dispute resolution in the context of workouts, in cross border transactions with a well-recognized law firm and/or an international financial institution or bilateral development institution; experience working with MDBs a plus
Ability to handle independently complex corporate and commercial transactions (including in particular secured lending, corporate and project finance, debt restructurings, and equity investments/divestments);
Willingness to assume multiple roles and tasks to meet changing business needs with an ability to foresee, troubleshoot and effectively resolve conflicting issues and challenges
Ability to assess risk in a practical and responsible manner and make fair, well-reasoned, independent and transparent decisions
Excellent interpersonal skills, ability to deal with sensitivity in a multicultural environment and to build effective working relations with clients and colleagues across the Corporation
Excellent communication skills
Ability to work in a fast-paced environment with quick turnaround expectations
Professional integrity and sound judgment in handling confidential information
