The General Counsel - Transactionsand Electronic Solutions will play a crucial role in supporting divestituresand other strategic transactions of Aerospace Technologies business unit. Theywill provide legal counsel and support for certain business segments ofAerospace Technologies Electronic Solutions SBU. This position is in Phoenix,AZ and you'll work on a hybrid schedule and will report to the Vice President& General Counsel for Electronic Solutions and Services & Connectivity.

Key responsibilities include:
Provide legal support for transaction activities, including acquisitions, divestitures, partnerships, licenses, and joint ventures.
Provide advice on deal terms and structuring, work with the business to develop product divestiture and licensing opportunities for Aerospace Technologies.
Support the due diligence, transactional negotiation, legal approvals and integration processes on transactions and mergers & acquisitions for Aerospace Technologies.
Support, implement and monitor post-closing actions (transition services, indemnification claims, post-closing adjustments, etc.) and legal integration/separation. Review, negotiate, and draft strategic agreements for the supported business segments.
Provide leadership, support, and guidance to the responsible contracts team in developing and negotiating customer sales contracts for the supported business.
Provide strategic and tactical legal analysis and support to settle disputes with customers, licensees, and partners.
Leading key initiatives within the Law & Contracts function to drive business growth.

You Must Have:
Five to eight years of practice as a qualified lawyer in a law firm and/or in-house environment in mergers and acquisitions, ideally gained through a combination of law firm and in-house experience.
Juris Doctorate from a nationally recognized law school and membership in a State Bar.
Must have verifiable knowledge of and hands on experience providing counsel on M&A and a variety of corporate transaction types.
