Job Overview

With overarching compliance responsibilities, the Contracts Manager will work closely with the Contracts Counsel and Contracts Administrator and with all businesses and entities within and across Anaergia companies (including international entities) and is expected to interface with senior corporate management, customer/supplier executive management, and public agency executives.

Job Responsibilities:
Prioritization of compliance with safety and health in all applicable contracts
Enforcement of Supplier Code of Conduct and other company policies
Provide input and compliance support for tax and grant administration
Development, negotiation, and review of various types of agreements with government and private clients, partners, and subcontractors, consistent with company standards
Support for end-to-end activities associated with contracting for the company's design, build, own, operate (DBOO) project portfolio, working closely with internal project development teams and project partners
Active support to business development in its contracting requirements, including NDAs, Teaming Agreements, RFI or RFP document review, and MOUs
Manages complex contract documents from creation to completion including analysis of contract templates with parties of the Legal Department proposing edits including changes in law, regulation and industry trends impacting business objectives.
Proactively identifies risks and issues and proposes / implements sustainable solutions to resolve the problems and prevent future recurrence.
Manage corporate contracts database including running reports and training company personnel on contracts management software platform intake and reporting.
Coordinate preparation and submission of periodic reports as required for contract compliance
Analysis of complex public and private requests for proposals (RFPs) and associated responses/bids for business risk, including specification of contractual guidelines and terms and conditions for procurement
Serving as corporate point of contact with the Contracts Administrator to advise and field contract questions, review, and reporting of key contracts issues for company operations, finance, administration, and senior management
Research and analysis of significant and/or unique contract requirements, special provisions, and terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies, and business unit process
Preparation of formal contract correspondence to ensure compliance with contractual terms and conditions, as required for operations, finance and administration, including strategic agreements, HR, IT systems procurement, and consulting, financing agreements, and leasing
Collaboration with the legal department in the resolution of contracts disputes or claims against vendors
Compliance support for mergers, acquisitions, and other strategic transactions globally
Insurance compliance for company operations, and renewal process support

Supervisory Responsibilities:
None
Reporting directly to the Contracts Counsel

Required Skills/Abilities:
Relevant applied experience of 3 to 5 years conducting contracts negotiations in engineering, construction, or energy industries, including government contracting and project financing
Proven and comprehensive understanding of subcontracting lifecycle, including selection, evaluation, award, and close-out of subcontracts
Understanding of the proposal process and ability to provide contract and policy-compliant support and recommendations
At least 2 years overall experience with negotiation and drafting of documents ranging from procurement to complex commercial transactions, including long-term feedstock and gas/power purchase and sale agreements
Experience of 1 to 2 years in international operations, agreements, and different legal systems
Relevant applied experience of 1 to 2 years of knowledge of recent government contracting and FAR, and US public entity requirements

Education and Experience:
Bachelor's Degree or Paralegal Certificate, and 5+ years of relevant experience performing similar roles in a global contracting environment, or
Juris Doctor and 2+ years of relevant experience performing similar roles in a global contracting environment
Expert understanding of MS Office tools, enterprise contracts management tools, and platforms, and adept with contracts and policy management platforms

Location: Based in - one of the following locations Carlsbad, CA or remote; Travel expected to be 10% or less Must have work authorization in the U.S.
