The Integrity Group in MIGA (known as "MIGIR") supports MIGA's operations by helping to mitigate certain risks that may occur in projects, as well as corporate activities. One of these is "integrity risk" - corruption, fraud, economic sanctions, litigation, criminal activity/history, politically exposed persons, opaque ownership structures, money laundering and terrorist financing - any of which can affect the integrity of a project, or adversely impact MIGA's reputation as a preeminent international organization operating in the private sector.

Roles & Responsibility

The position will report to the Director and General Counsel.
Lead the integrity team and supervise the provision of advice to business teams on core aspects of IDD and AML/CFT risks as they impact MIGA's clients, partners, transactions, and new products/initiatives.
Supervise the MIGIR team, working to ensure:
  • Quality control
  • Consistency in advice provided to business teams
  • Effective coordination and inclusion amongst team members
  • Act as strategic partner to business teams and corporate functions and be a versatile, trouble-shooter on IDD and AML/CFT issues.

Support the General Counsel in assessing and evaluating MIGA's framework for handling IDD and AML/CFT risks and adjust the same as required by business strategies, risk profile, or other factors.
Supervise the provision of advice to business teams on IDD and AML/CFT-related matters in transactions, new products/initiatives, and operations, including on the following subjects:
Adhere to International and national anti-corruption/bribery laws and regulations (e.g., FCPA, UK Bribery Act)
Keep up to date on and ensure the integrity abides by and correctly applies:
  • International standards and guidance relating to AML/CFT (e.g., issued by Financial Action Task Force (FATF), the Wolfsberg Group) as well as national AML/CFT laws and regulations.
  • Other integrity-related laws/regulations and legal issues that arise in MIGA business, including laws and regulations intersecting with IDD and AML/CFT
  • Economic sanctions (such as the UN, EU, UK, and US regimes) and other international trade sanctions and export controls

Support crisis management and provide legal advice related to significant integrity matters, including potential or actual litigation, or involving complex legal issues
Review all current integrity-related provisions in MIGA contracts.
Draft new integrity-related provisions in MIGA contracts, as needed.
Negotiate with clients to build out contractual protections on integrity-related matters
Advise on integrity-related provisions for legal documentation relating to new products/initiatives
Drafting disclosures for Board papers

The Head will serve as MIGA's liaison to the WBG Sanctions System and counterparts at the World Bank, IMF, multilateral development banks (MDBs), international organizations, clients, and other private-sector entities.

In addition, the Head is expected to mentor, conduct performance evaluations and hold career development conversations with team members while promoting a culture of effective teamwork, knowledge sharing and collaboration.

Selection Criteria
Master's degree, or Juris Doctor, LLB, or equivalent law degree; qualification to practice law in at least one jurisdiction is a plus.
At least 12 years of relevant experience providing advice on international business transactions, project finance or funds and including at least 8 years' experience advising on AML/CFT issues and/or integrity-related matters such as anti-corruption laws, economic sanctions, etc.
Experience at an international financial institution/multilateral development bank advising business teams on the above matters
In depth knowledge of AML/CFT laws and regulations, industry best practices and international standards including those issued by FATF and the Wolfsberg Group
Firm knowledge and understanding of international tax law principles, relating to tax evasion, tax transparency, use of intermediate jurisdictions in project structuring, and related party transactions
Fluency with data analytics and reporting
Experience with data sharing and data protection risk management
Experience presenting engaging workshops and trainings to staff and management at all levels
