Housed under the Legal and Institutional Business Risk & Governance Vice Presidency, the Nominee Directorship Center was established to guide equity teams in strategically and effectively exercising our nomination rights and supporting nominee directors in performing their board duties.
The Nominee Directorship Center is responsible for:
Guiding Equity and Portfolio Teams
We provide frameworks, tools, and hands-on guidance for the effective management of IFC nominee directorships, including analytics informing the exercise of nomination rights, the sourcing & selection of candidates, compensation, and engagement with the nominee director.
Advising on Policies and Procedures
We review and approve of all nomination/appointment Memos, with provision of structural and personal conflicts of interest analysis (for internal and external nominees, respectively).
We review and provide advice to VPs on policy waivers and keep ND policies and procedures up-to-date, incl. consultations with the business on the relevant reviews.
Supporting Nominee Directors
We provide onboarding, ongoing education, and best practice resources for nominee directors to perform their fiduciary duties in the best interest of the companies they serve and all of their shareholders in line with IFC's mandate and values.
We draw on expertise from across the WBG and leverage its external convening power to offer first-class ongoing education to ensure our nominees remain abreast of cutting-edge best practices and trends in a rapidly changing world.
Fostering Thought Leadership
We contribute to IFC's brand and lead among DFIs on nominee directorship management practices underpinned by robust analytics. We develop in-house tailored knowledge bases based on IFC's own experience to foster boardroom excellence in support of our investee companies' long-term sustainable performance.
Improving Board Diversity
IFC promotes gender diversity in the boardroom by nominating women nominee directors at parity with male nominees. The ND Center is jointly accountable with Global Equity Heads for maintaining our capital increase KPI of 50% women nominee directors and promoting DEI in our investee companies.

The ND Center partners with IFC's Global Equity and Investment teams and draws on the expertise of experienced IFC staff from across the organization.
The ND Center is recruiting an experienced system, project management and onboarding expert with a corporate legal background and a good understanding of board matters.
Role & responsibilities:
To support the ND Center with the management and enhancement of Directorship Management Systems, the ET consultant will be expected to manage the ND/AC - Platform. More than just a database, the new ND/AC-Platform leverages new technologies and enables potential and current nominee directors and advisory committee members to regularly update their profiles and manage their seats.
The ET consultant will be expected to deliver the following task and support the Center with the overall delivery of its work program:
Management of Nominee Director candidates
o Conduct pre-IDD checks of potential candidates
o Create candidate profiles in ND/AC
o Invite candidates to register
o Follow up on registration
o Help candidates with login issues
o Manage IDD flags
o Manage deactivations of profiles
o Monitor the NDAC inbox and respond to queries and submit issues to IT
o Serve as point of contact (POC) for all NDAC related matters
Change Management
o Support change management to new Azure NDAC Platform access
o Support adoption by nominee directors of all function of the NDAC platform - including the implementation of Nominee Director Self - assessment
o Prioritize system enhancement based on business needs
Perform System Quality Checks and Updates
o Update system notification templates
o Ensure quality of the system is adequate, report on user issues, and monitor IT fixes
o Engage in system enhancements design and review and implementation
o Attend Directorships meetings with ITS, CBR and CPM.
o Perform analytical review of quality and usage of the NDAC-Platform.
Event Management & Coordination
o Lead ND Center's event coordination efforts, including tasks related to organizing the annual ND Forum as well as helping with organizational tasks regarding ND regional events, webinars, IMD staff training, and other ad-hoc events.
o Develop and maintain detailed timelines and checklists to manage event workflows, ensuring adherence to deadlines and efficient resource allocation.
o Lead participant management efforts for relevant events, including management of participation distribution lists, tracking participation, supporting logistical arrangements, gathering bios and presentations.
o Lead post-event evaluations and feedback sessions to assess performance, document learnings, and recommend improvements for future events.
Nominee Director Onboarding
o Compiles essential documents from various departments across the institution to ensure each IFC Nominee Director has a comprehensive onboarding package, enhancing their readiness and engagement.
o Maintains and updates the onboarding tracker to monitor progress and address bottlenecks, achieving real-time visibility for stakeholders and enabling timely follow-ups.
o Coordinates just-in-time onboarding efforts by aligning resources and timelines with key milestones, reducing delays and ensuring a seamless integration process.
o Anticipates potential onboarding delays and proactively implements solutions to mitigate risks, contributing to a more efficient and structured onboarding experience.
o Acts as a liaison between departments to expedite information flow and address onboarding requirements, ensuring that directors have a clear and informed start.
The ET Consultant will report to the team's Associate Operations Officer and work closely with the knowledge and learning team.
Selection Criteria
Bachelor's or master's degree or equivalent from a reputable university with a major or concentration in business administration, law, economics or other fields relevant to the position.
Minimum of 3 years of relevant private sector and/or multilateral working experience.
Understanding of Corporate Governance and IFC's equity business.
Familiarity with IFC Operations and systems (iPortal & NDAC) would be a plus.
Ability to integrate technical findings into concise Microsoft PowerPoint presentations.
Excellent organizational, and logistical skills, with keen attention to detail and ability to follow up systematically on a broad set of initiatives and decisions.
Experience working on integrated IT architecture solutions would be a plus.
Excellent interpersonal skills and ability to support senior executives and non-executives with solutions-oriented feedback.
Capacity to work simultaneously, effectively and efficiently on a variety of diverse issues and tasks, independently adjusting priorities and achieving results with agreed objectives and deadlines.
Professional verbal and written communication skills in English.
