ABOUT THE ROLE
The Corporate Counsel - Governance assists Clnera's General Counsel on Board-related matters including preparation of Board resolutions and minutes, corporate governance and compliance, subsidiary governance, and related items. You will also assist in establishing and maintaining compliance programs in connection with Clnera's construction and tax equity financing arrangements.
You will be crucial in facilitating collaboration between the organization's Board and the departments across the organization by ensuring the Board's decisions, guidance, and initiatives are conveyed to relevant internal stakeholders while also facilitating corporate and board governance.

You will be crucial in facilitating collaboration between the organization's Board and the departments across the organization by ensuring the Board's decisions, guidance, and initiatives are conveyed to relevant internal stakeholders while also facilitating corporate and board governance.
WHAT YOU'LL DO
- Facilitate strong corporate governance and compliance procedures. This includes the opportunity to interact with our Board of Managers regarding key company initiatives.
- Coordinate with all company departments to help ensure compliance with covenants contained within the company's multiple construction financing and tax equity financing arrangements.
- Collaborate proactively with relevant parties to ensure all necessary information is prepared and available for Board discussions in a timely manner.
- Maintain accurate records of Board meetings, decisions, and actions by preparing meeting minutes, resolutions, and other relevant documentation as needed.
- Communicate key updates, strategic initiatives, financial information, and decisions made by the Board to appropriate departments, teams, and stakeholders within the organization.
- Build and nurture positive relationships with executives and other stakeholders.
- Handle sensitive and confidential information with the utmost discretion and professionalism, adhering to ethical and legal standards.
- Collaborate with individual department, as well as cross-functionally with other departments within the organization.
- Maintain organizational excellence in terms of project timelines and deliverables.

MINIMUM REQUIREMENTS
- Education: Juris Doctor (JD) degree.
- Experience: Minimum of 2-4 years of experience at a major law firm, renewable energy firm, or in-house at a major company.
- Technology: Proficiency with Microsoft Office Suite, and an ability to learn company-specific software programs, tools, processes, and machines.
- Skills/Attributes:
- Self-motivated to work through complex problems and competing priorities, including a high level of detail and organization.
- Exceptional verbal and written communication skills, including experience taking executive-level meeting minutes and preparing presentations.
- Demonstrated ability to build and maintain relationships with executive leaders, preferably internationally.
- High degree of integrity and confidentiality in handling sensitive discussions and confidential information.
