The ideal candidate will provide accounting guidance on business transactions, lead the technical accounting assessment of M&A activities, and support the preparation of financial statements for a publicly traded company.
Responsibilities
Key Responsibilities:
Technical Accounting & Compliance
- Lead the evaluation and application of US GAAP, focusing on complex transactions such as M&A, revenue recognition (ASC 606), business combinations (ASC 805), lease accounting (ASC 842), and stock-based compensation (ASC 718).
- Partner with corporate development, legal, and finance teams to assess and document the accounting implications of acquisitions, divestitures, and strategic transactions.
- Provide technical accounting memos and position papers to support financial reporting and external audit reviews.
- Stay updated on evolving accounting standards and SEC regulations to ensure continuous compliance.
Mergers & Acquisitions (M&A) Accounting
- Lead purchase price allocation (PPA) analysis for acquired businesses, including valuation of intangible assets and goodwill.
- Coordinate due diligence efforts and ensure timely integration of acquired entities into corporate financial reporting.
- Support post-acquisition accounting, including earnout arrangements, contingent considerations, and impairment testing.
Revenue Recognition (ASC 606)
- Ensure proper revenue recognition in compliance with ASC 606, including contract modifications, variable considerations, and principal vs. agent assessments.
- Partner with sales, legal, and operations teams to review customer contracts and provide accounting guidance.
- Monitor and enhance internal controls over revenue recognition.
Financial Reporting & Audit Support
- Support SEC reporting (10-Q, 10-K) and financial statement disclosures, ensuring compliance with US GAAP and PCAOB standards.
- Act as a key liaison with external auditors, providing technical documentation and analysis
- Assist in implementing new accounting policies, process improvements, and internal controls.
Qualifications
Qualifications & Experience:
- Bachelor's or Master's degree in Accounting, Finance, or related field.
- CPA required (Big 4 public accounting experience preferred).
- 6+ years of relevant experience, including technical accounting, M&A, and revenue recognition in a public company environment.
- Deep understanding of US GAAP, SEC reporting requirements, and SOX compliance.
- Strong analytical skills with the ability to research and resolve complex accounting issues.
- Experience with ERP systems (SAP) and SEC reporting tools is a plus.
- Excellent written and verbal communication skills with the ability to influence senior leadership.
