Mid-Level Private Equity/Finance Associate Attorney
Location: New York, NY (Hybrid)
Direct Counsel is seeking a mid-level Private Equity/Finance Associate to join the growing private equity practice of a leading global law firm in New York. This role offers the opportunity to work with a Chambers-rated team on high-profile transactions across multiple industries.
Key Responsibilities:

• Advise on private equity-sponsored leveraged acquisition finance transactions involving a variety of credit facilities, including senior secured term loans, cash flow and ABL revolving credit facilities, and first/second lien and subordinated mezzanine credit facilities.
• Draft and negotiate commitment letters, engagement letters, term sheets, fee letters, and collateral documentation.
• Represent private equity lenders in complex financing transactions.
• Work collaboratively with partners and teams across practices to execute sophisticated deals.

Qualifications:

• 3+ years of experience in private equity-sponsored leveraged acquisition finance transactions.
• Prior Am Law 100 or SEC experience is required.
• Experience representing private equity lenders is preferred.
• Strong analytical, writing, and negotiation skills.
• New York Bar admission required.
• JD from a top-tier law school.

Compensation & Benefits:

• Salary Range: $310,000 - $420,000 (dependent on experience and location).
