About the Role

Direct Counsel is seeking a mid-senior level associate to join a well-respected firm's Corporate practice in Chicago or Minneapolis. This position offers the opportunity to work with Fortune 500 global companies on complex cross-border transactions, including mergers and acquisitions, joint ventures, and global corporate restructurings.
Key Responsibilities

• Advise on M&A transactions, joint ventures, and corporate restructurings across multiple jurisdictions
• Draft and negotiate complex transactional documents
• Collaborate with internal teams and international local counsel
• Manage client relationships and provide strategic legal counsel
• Ensure compliance with U.S. and international corporate laws

Qualifications

• J.D. from a nationally ranked law school
• 4+ years of experience practicing law at a national or international firm
• Licensed to practice in Minnesota or Illinois
• Strong drafting, negotiation, and research skills
• Ability to manage complex transactions and multiple stakeholders

Preferred Experience

• Experience with cross-border M&A transactions
• Familiarity with global regulatory requirements
• Prior work with international corporate structures

Compensation & Benefits

• Salary range: $310,000 - $420,000, depending on experience and market
