Mid-Level to Senior Private Equity Associate Attorney (NorCal)
Direct Counsel is seeking a Mid-Level to Senior Private Equity Associate to join a highly regarded law firm in San Francisco or Palo Alto. This is an excellent opportunity for an experienced attorney to work with a top-tier private equity practice advising leading investment firms and their portfolio companies on a variety of sophisticated transactions.
About the Role:

The ideal candidate will have at least four years of experience representing private equity sponsors and their portfolio companies in complex transactional matters. This role requires strong expertise in mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters.
Key Responsibilities:
  • Structuring and Negotiating Transactions - Advise private equity firms and their portfolio companies on the legal aspects of M&A transactions, leveraged buyouts, and other strategic investments.
  • Drafting and Reviewing Legal Documents - Prepare and negotiate purchase agreements, investment agreements, shareholder agreements, and other key transactional documents.
  • Due Diligence - Lead legal due diligence efforts for acquisitions, sales, and investment transactions.
  • Regulatory and Compliance Matters - Provide guidance on SEC and other regulatory considerations applicable to private equity transactions.
  • Client Advisory - Work closely with private equity clients to assess risk, structure deals, and develop strategic solutions that align with their business objectives.
  • Collaboration - Coordinate with internal teams, including tax, finance, and litigation, to ensure comprehensive deal support.
Qualifications & Requirements:
  • J.D. from an accredited law school with excellent academic credentials.
  • Admission to the California Bar (or ability to waive in).
  • 4+ years of experience at an AmLaw 100 firm or relevant SEC/private equity-focused experience.
  • Strong understanding of private equity transactions, including M&A, fund structuring, and regulatory compliance.
  • Exceptional analytical and problem-solving skills with the ability to assess risks and develop practical solutions.
  • Excellent drafting, negotiation, and communication skills with the ability to manage complex deals from inception to close.
  • Ability to thrive in a fast-paced, client-driven environment and handle multiple transactions simultaneously.
Work Environment & Benefits:
  • Hybrid work model - Regular in-office presence with some remote flexibility.
  • Highly competitive salary - Expected hiring range: $310,000 - $420,000 per year, depending on experience and location.
