Description:
Kiwa North America is seeking a highly organized and detail-oriented Legal Counsel to support our legal team with a wide range of legal tasks. The ideal candidate will have experience in legal research, drafting, and reviewing documents, managing case files, contracts review and negotiation. This role is essential to ensuring the smooth operation of our legal department and requires a professional with excellent communication skills and a proactive attitude.

Key Responsibilities:
- Assist in preparing ASC 740 tax provisions along with Kiwa Group accounts, including maintaining and updating Excel models and coordinating with accounting teams and external tax advisors;
- Prepare reconciliations of tax-related general ledger accounts.
- Work with external tax advisors to prepare and review federal, state, and local tax returns and estimate tax extension payments (Income, Sales & Use Tax, GST, and property tax);
- Research and analyze state and local tax laws and regulations and monitor changes that may affect our business;
- Work with the accounting department and other business units within the U.S. group to gather information and prepare Effective Tax Rate overviews;
- Understanding of US reporting requirements as the organization is part of a global group;
- Provide tax advice and guidance on various business transactions, mergers and acquisitions and restructurings;
- Support the M&A process and Integrations from a tax perspective;
- Manage state and local tax audits and inquiries and negotiate with federal and state tax authorities to resolve any issues or disputes;
- Drive tax process improvements aligned with company initiatives, seeking opportunities to modernize operations;
- Maintain the tax calendar and manage relationships with key personnel to support the tax function;
- Support various tax projects (international, state, property, and transaction tax) as required by the business;
- Other relevant tax topics as needed.
Required Skills and Knowledge
- Bachelor's degree in Accounting, Taxation, or related field
- 5+ years' experience, preferably with exposure to a public accounting firm and experience in a multinational corporation with exposure to the Professional Services Industry
- Familiarity with tax software, databases and global ERP

Preferred Skills and Knowledge:
- Certified Public Accountant (CPA) license or Master's Degree in Accounting or Taxation
- Prior exposure to International Global corporations
