Mid-Level to Senior Emerging Growth/Venture Capital Associate Attorney (San Diego)
Direct Counsel is seeking a Mid-Level to Senior Emerging Growth/Venture Capital Associate to join a prestigious AmLaw 100 law firm in San Diego, CA. This role offers an exciting opportunity to work with emerging growth companies and institutional investors on venture capital financings, M&A transactions, and corporate governance matters.
Key Responsibilities:
  • Represent both institutional investors and emerging growth companies in venture capital financings, from early-stage investments to later-stage growth funding rounds.
  • Advise startup and high-growth clients on a range of corporate matters, including entity formation, governance, equity compensation, and commercial agreements.
  • Lead and support M&A transactions, including structuring deals, conducting due diligence, drafting agreements, and negotiating key terms.
  • Guide clients through securities law compliance, including stock option plans, SAFE and convertible note financings, and SEC reporting obligations.
  • Work closely with founders, executives, and investors to provide strategic legal counsel on financing structures and corporate governance best practices.
  • Manage multiple complex transactions simultaneously, coordinating with internal teams and external stakeholders to ensure seamless execution.
Qualifications:
  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice in California.
  • 5+ years of experience in emerging growth, venture capital, and M&A transactions at an AmLaw 100 firm or highly regarded boutique law firm.
  • Strong background in venture capital financing, including representing startup companies and institutional investors.
  • Experience advising clients on corporate structuring, stock option plans, and compliance with securities laws.
  • Knowledge of M&A deal structuring, negotiation, and due diligence.
  • Excellent analytical, drafting, and negotiation skills with a keen attention to detail.
  • Ability to work in a fast-paced, high-growth environment and manage multiple matters efficiently.
Preferred Qualifications:
  • Experience working with technology, life sciences, and fintech companies on corporate governance and financing matters.
  • Strong understanding of private equity, SPAC transactions, and IPOs.
  • Exceptional client service skills, with the ability to build long-term relationships with founders and investors.
Compensation & Benefits:
  • Competitive base salary range: $365,000 - $435,000 per year, depending on experience and qualifications.
