Description:
Freshfields US LLP is seeking an associate with two to five years of experience with IP-driven transactions and the IP and technology aspects of mergers and acquisitions to join its premier, internationally recognized, and rapidly growing MedTech Transactions practice in the firm's Silicon Valley or San Francisco office.
Freshfields' global MedTech Transactions practice advises companies and investors across the technology, healthcare, consumer products, pharmaceuticals, and biotech industries on their most strategic, complex transactions. We work seamlessly across jurisdictions and practices to solve 21st century problems for our clients, particularly those that present cutting-edge intellectual property and data issues at the intersection of technology and life sciences. Our MedTech Transactions team is part of our Life Sciences Transactions group, which was named one of the Law360 Life Sciences Groups of the Year in 2024. Associates in the MedTech Transactions group have the opportunity to collaborate on projects with members of the global Life Sciences and IP Transactions teams.

We are looking for energetic, intellectually curious applicants who have:
- At least two years of experience supporting senior associates and partners in drafting, reviewing, and negotiating a wide variety of IP-driven transactions and investments, including:
- Licenses of software, technology and content, e.g., SaaS/PaaS/IaaS arrangements (including associated service-level and support agreements) and AI/ML related agreements
- Collaboration, development, services, manufacturing, supply and distribution agreements
- Providing IP support on M&A, investments, joint ventures and other corporate transactions
- A strong understanding of intellectual property concepts and licensing
- A passion for the intersection of IP, technology, and business, and a desire to contribute to building a leading practice
- A growth mindset (this is a pre-requisite!)
