The TSO Manager will lead and support buy-side and sell-side tax due diligence engagements for private equity firms, mezzanine funds, and strategic buyers. The Manager will play a key role in due diligence meetings with target management, effectively communicating findings in both verbal and written formats. In addition to conducting tax structuring engagements-such as cash flow modeling, organizational restructuring, and complex tax analyses- they will design tailored models and reports to meet client needs. As well as oversee engagement operations, including team scheduling, budget management, and risk mitigation, ensuring timely and efficient project execution. Building and maintaining strong client relationships will be essential, as will collaborating with internal teams to drive business growth. Additionally, they will contribute to staff development and mentorship while participating in business development initiatives to expand the practice.
Responsibilities:
Lead and assist in buy-side and sell-side tax due diligence engagements for private equity, mezzanine funds, and strategic buyers
Lead and assist sections of tax due diligence meetings with target management
Communicate tax due diligence findings confidently in a clear, concise and articulate manner both verbally and in written reports
Lead and assist in a variety of tax structuring engagements, including sell-side and buy-side tax and cash flow modeling, organizational restructuring, IRC Section 382 analyses, IRC Section 1202 analyses, etc.
Create and design tailored models and reports based on the specific needs of the engagement.
Collaborate and work within teams to ensure timely and efficient product delivery
Oversee engagement operations, including staff scheduling and budget management, to ensure efficient project execution and manage risk
Develop and strengthen productive working relationships with client personnel
Collaborate with other Elliott Davis team members
Lead and participate in people development and business development efforts
Other duties within the scope of the practice

Requirements:
A minimum of four years of experience with tax transaction services is required
Bachelor's degree from an accredited college/university
Current licensed CPA preferred
Big 4, National or large regional firm experience preferred
Excellent analytical and Microsoft Excel skills
Strong verbal and written communication skills
Aptitude towards business development
Ability to thrive and adapt in a fast-paced, dynamic environment
Ability to lead an engagement and provide real-time feedback and guidance to clients to ensure timely and efficient product delivery
Strong knowledge of U.S. tax and state and local tax
Ability to manage multiple responsibilities simultaneously (multi-task)
Superior client service focus
